What the Business Agreement AGO Covers

The Business Agreement AGO is a standard commercial contract template used to define the relationship between two or more business parties, setting out scope of work, payment terms, duration, termination rights, confidentiality, intellectual property allocation, and dispute-resolution procedures. It is suitable for service agreements, vendor engagements, and many commercial transactions where written allocation of risks and obligations is required. The template is compatible with U.S. electronic-signature laws (ESIGN and UETA) and can be executed electronically where parties consent to electronic records and signatures.

Why Use the Business Agreement AGO for Your Transactions

A clear, consistent agreement reduces ambiguity about deliverables, payment, and risk allocation, improving enforceability and reducing dispute costs.

  • In-house legal counsel and outside attorneys who review and adapt template clauses

Core Sections to Include in a Professional Business Agreement AGO

A well-formed Business Agreement AGO contains distinct sections that allocate duties, payment, term, and remedies so each party’s obligations and risks are explicit and enforceable.

Parties & Recitals

Identify each contracting entity by full legal name, jurisdiction of organization, and role; include recitals that explain the transaction context without creating operative obligations.

Scope of Work

Describe deliverables, milestones, acceptance criteria, and any excluded services in specific, measurable terms to limit disputes over performance expectations.

Payment Terms

State amounts, payment schedule, invoicing timing, late fees or interest, and which party bears taxes or withholding; specify currency and payment method.

Term & Termination

Set effective date, initial term, renewal mechanics, and termination rights for convenience, breach, or insolvency, plus notice requirements and cure periods.

Confidentiality & IP

Allocate ownership of intellectual property, license grants, and confidentiality obligations; define permitted uses and retention or return of proprietary materials.

Liability & Indemnity

Limit liability where appropriate, state indemnification triggers, and include insurance requirements and caps on consequential damages where negotiable.

Common Preparation Errors to Avoid

  • Using informal or abbreviated party names that differ from formation documents, creating ambiguity in enforceability.
  • Vague scope language that leaves performance standards undefined and triggers disputes over deliverables.
  • Missing or inconsistent signature blocks and dates across counterpart signatures, complicating proof of agreement.
  • Failing to specify governing law or notice procedures, which increases litigation risk and forum disputes.

Key Legal and Operational Risks of an Incorrect Agreement

Unenforceable Terms: Overbroad or illegal clauses can render portions of the agreement void.
Tax Exposure: Incorrect payee information may trigger backup withholding or reporting issues.
Privacy Violations: Improper handling of personal data can breach HIPAA or state privacy rules.
Missed Deadlines: Failure to meet notice or cure periods can forfeit contractual remedies.
Identity Disputes: Weak signer authentication may allow later challenges to signature validity.
Recordkeeping Failures: Poor retention can hinder audits and regulatory compliance.
