What the Business Agreement AHU Is and When It Applies

The Business Agreement AHU is a written contract used when one party supplies, installs, or maintains an air handling unit (AHU) for a commercial or institutional facility. It defines the scope of work, technical specifications, delivery and installation timelines, acceptance testing, payment schedule, warranties, liability allocation, and change-order procedures. The agreement allocates responsibility for permits, code compliance, and testing to the appropriate party and typically attaches equipment specifications and drawings as exhibits. When executed properly the contract establishes enforceable obligations and risk management controls for both owner and contractor.

Why a Clear AHU Agreement Matters for Projects

A Business Agreement AHU clarifies deliverables, timelines, and financial terms, reducing disputes and facilitating compliance with building codes and warranty obligations. It protects both owner and contractor by documenting acceptance criteria, payment milestones, and remedies for defects or delays.

Why a Clear AHU Agreement Matters for Projects

Who Typically Prepares and Signs This Agreement

Owners, facility managers, general contractors, and HVAC subcontractors commonly use the Business Agreement AHU to define procurement and service obligations.

  • Building owners — establish performance expectations, payment terms, acceptance criteria, and warranty responsibilities.
  • HVAC contractors — define scope, equipment specifications, installation schedules, and change-order procedures.
  • Facility managers — schedule maintenance, document service levels, and track warranty claims.

Legal, procurement, and project teams should coordinate so the contract aligns with bidding, permitting, and commissioning schedules.

Core Sections to Include in a Professional AHU Agreement

Key sections cover scope and specifications, schedule and milestones, payment and invoicing, change orders, warranties and liabilities, and acceptance testing with remedies.

Scope

Describe in precise technical terms the AHU model, capacity, components, control interfaces, and performance criteria; attach manufacturer cut sheets, electrical and ductwork connections, and any site-specific installation constraints as exhibits.

Schedule

List delivery deadlines, mobilization dates, phased installation windows, and site access requirements; include penalties or liquidated damages for missed milestones and procedures for approved schedule adjustments.

Payment

Specify contract value, deposit amounts, payment schedule tied to milestones or completed work, retainage percentage if any, invoicing requirements, and acceptable methods of payment including required backup documentation.

Warranties

State warranty lengths for parts and labor, what constitutes warranty service, remedies for breach, exclusions, the process for submitting claims, and responsibilities for shipping replacement components.

Change Orders

Define the change-order approval process, who may authorize modifications, how cost and schedule impacts are calculated, and documentation required before work commences to avoid disputes.

Acceptance

Include factory acceptance test criteria, site commissioning procedures, measurement methods, hold points, and final punch-list and sign-off process that governs final payment and warranty commencement.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest.
Audit Trail: Comprehensive timestamps, IP and action logs.
HIPAA BAA: Available when PHI is present.
Access Controls: Role-based permissions and MFA options.
Data Formats: PDF, DOCX, Excel supported.
Retention Policy: Configurable retention and export capabilities.

Common Risks and Contract-Level Penalties

Late Delivery: Liquidated damages possible.
Nonconforming Equipment: Repair, replacement, or rejection.
Warranty Voids: Improper installation may void warranty.
Regulatory Fines: Failure to meet code risks fines.
Payment Disputes: Withheld payments can delay work.
Termination Costs: Early termination triggers fees.

Avoidable Drafting and Execution Errors

  • Using vague scope language that omits equipment specifications leads to disputes and costly change orders during installation and commissioning.
  • Failing to attach manufacturer cut sheets or wiring diagrams can delay permitting and inspection, increasing project timelines and costs.
  • Not defining acceptance testing procedures allows subjective sign-offs and may enable premature final payments before systems meet performance requirements.
  • Overlooking jurisdictional requirements for permits, licensing, or witness/notarization can render parts of the agreement difficult to enforce.

Real-World Examples of Using the AHU Agreement

Two concise examples show how standardized AHU agreements reduce friction in procurement and commissioning across portfolios.

Optica Ventures — COO

Optica deployed a standardized AHU contract across multiple retrofit projects to centralize technical expectations and vendor obligations.

  • Standardized terms reduced negotiation time.
  • By attaching equipment specifications and test procedures as exhibits, Optica shortened procurement cycles, reduced disputes over acceptance, and improved coordination between facilities and HVAC contractors across its property portfolio.

Martin Properties — Founder

Martin Properties used the AHU agreement to accelerate tenant fit-outs involving HVAC upgrades.

  • Clear acceptance tests improved handover.
  • Documenting commissioning criteria, punch-list processes, and payment milestones reduced back-and-forth with contractors, improved occupant comfort upon turnover, and clarified warranty responsibilities for ongoing maintenance.
