Common preparation mistakes to avoid

  • Using vague scope language such as 'provide services as needed' which creates ambiguity about deliverables, timing, acceptance criteria, and can lead to performance disputes or unpaid work.
  • Failing to specify payment schedule and invoicing requirements, including due dates and acceptable payment methods, which slows collections and increases finance disputes.
  • Neglecting to allocate intellectual property rights clearly, especially for deliverables or software, creating later ownership disputes and complicating licensing or resale.
  • Relying on a handwritten initial or unsigned amendment without proper signature blocks or retention, risking unenforceability under ESIGN and state law.

Legal and financial risks from incorrect forms

Tax Penalty: Missing TIN risks backup withholding
1099 Penalties: Late filing penalties $60–$330 per form
I-9 Violations: Civil fines range $281–$2,789 per violation
Contract Unenforceable: Improper signatures can void agreement
Breach Litigation: Litigation increases costs and damages exposure

Practical tips for efficient, enforceable contracts

Practical tips improve accuracy, reduce signing friction, and support enforceability when using the Business Agreement Asaf Maih.

Use clear, measurable scope and acceptance criteria
Define deliverables with acceptance criteria, formats, and deadlines. Include examples or attachments when possible. Clear scopes prevent disputes, support milestone-based payments, and make it easier to determine when obligations are fulfilled for invoicing and liability limits.
Require complete contact and tax details early
Collect legal names, addresses, and Taxpayer Identification Numbers early. Missing or incorrect TINs can trigger backup withholding at 24% and cause filing penalties for the payer under IRC §6721, and keep a copy of the W-9.
Match signer identity to authority records
Confirm that the person signing has authority to bind the entity. For corporations require an officer title or corporate resolution; for LLCs check operating agreement. Mismatched signer authority risks contract voiding and unknown liabilities.
Retain originals and export audit trails
Keep executed originals or certified electronic equivalents. Export the audit trail with timestamps, IP addresses, and signer authentication details to preserve evidence of intent and attribution for future disputes, regulatory audits, or compliance reviews.
