Effective Date, Commencement, and Start of Obligations:

Signed effective date begins obligations immediately unless otherwise stated.

Tax Reporting, Withholding, and Forms Deadlines:

Provide necessary payee information for 1099 or vendor reporting when required.

Renewal Terms, Notice Periods, and Automatic Renewal:

Specify notice windows for renewal or non-renewal to avoid automatic extensions.

Notarization, Recording, and Local Filing Deadlines:

Record deeds or amendments within local deadlines when required by jurisdiction.

Termination, Cure Periods, and Post-Term Actions:

Include cure periods and deadlines for correcting breaches before termination.

Common Preparation Errors to Avoid

  • Missing or mismatched legal names that prevent bank processing, create ambiguity in enforcement, and may trigger demands for corrected documents, delaying transactions.
  • Failing to specify governing law and dispute resolution leads to venue disputes and escalates legal costs when parties reside in different states.
  • Leaving payment terms vague, including timing, penalties, and invoicing process, causes collection delays and disagreements over owed amounts.
  • Omitting signature authority or notary requirements for entities results in rejected acceptance, challenges to validity, and potential re-execution needs.

Potential Legal and Financial Risks of Errors

Contract Void Risk: May render agreement unenforceable.
Tax Penalties: Backup withholding or IRS penalties.
Employment Documentation: I-9 documentation fines possible.
Recording Rejection: Recording rejection delays title transfers.
Late Payment Costs: Interest charges and collections costs.
Data Privacy Fines: HIPAA breach fines if PHI exposed.
