Common preparation mistakes to avoid

  • Using trade or DBAs instead of the entity's legal name, which can prevent enforceable execution and create tax reporting mismatches.
  • Leaving payment terms vague, such as 'payment due on receipt', without defining invoice timing, currency, or acceptable payment methods.
  • Failing to specify governing law and venue, leading to costly jurisdictional disputes and uncertainty about applicable statutes of limitation.
  • Neglecting to confirm signer authority; an unauthorized signature can result in rescission or require ratification by the principal.
