What the Business Agreement BA Premium Is

The Business Agreement BA Premium is a standardized commercial contract template used to document the rights, duties, and consideration between corporate parties for goods, services, licensing, or joint ventures. It combines core contract provisions — scope, payment, term, termination, confidentiality, indemnity, and governing law — with optional premium clauses for milestones, deliverables, and payment schedules. The template is designed for both paper and electronic execution and is commonly paired with an eSignature workflow and audit trail to support enforceability under U.S. electronic signature laws.

Why use the Business Agreement BA Premium

BA Premium centralizes common commercial protections and negotiable clauses so parties avoid recreating agreements for each deal. It clarifies payment terms, risk allocation, and performance milestones to reduce disputes and speed approvals while remaining adaptable to industry-specific needs.

Download Formats

Save executed agreements as PDF/A for long-term archival and as DOCX for editable internal copies when needed.

Accounting Export

Essential data fields to collect

Party Names: Legal entity names
Signatory Titles: Authorized officer title
Effective Date: MM/DD/YYYY
Payment Terms: Net terms or schedule
Governing Law: State selection
Notices: Address for service

Common preparation mistakes to avoid

  • Leaving the effective date blank or mismatched between exhibits and main agreement creates ambiguity about when obligations begin.
  • Using informal signatory titles without confirming authority risks later claims that the signatory lacked power to bind the organization.
  • Vague scope language like 'reasonable efforts' or 'as needed' leads to disputes over deliverables and billing.
  • Not attaching referenced exhibits or schedules results in incomplete terms and can nullify pricing or technical obligations.

Consequences of errors or missing information

Tax Reporting: Backup withholding risk
Enforceability: Voidable clauses risk
Payment Delays: Billing disputes arise
Regulatory Risk: Noncompliance fines
Contractual Liability: Unlimited damages exposure
Audit Exposure: Missing records flagged
