Common Preparation Mistakes to Avoid

  • Using informal or abbreviated party names that differ from formation documents and create ambiguity in enforcement or tax reporting.
  • Leaving the scope vague or open-ended without acceptance criteria, which often leads to disputes over deliverables and payment.
  • Failing to confirm signer authority before execution, then discovering signatures were outside an individual's authority to bind the entity.
  • Neglecting to attach exhibits, schedules, or statements of work that the contract references, creating uncertainty about obligations.

Potential Legal and Commercial Risks

Contract Invalidity: Missing essential terms may make the agreement unenforceable.
Tax Exposure: Incorrect party details can trigger reporting or withholding obligations.
Data Privacy Risk: Noncompliance with privacy law may lead to regulatory penalties.
Breach Damages: Material breaches can result in monetary liability.
Execution Defects: Improper signing or lack of authority can void obligations.
Recordkeeping Failure: Insufficient retention hampers audits or litigation response.
