Practical Tips for Accurate, Efficient Completion

Follow these practical recommendations to reduce rework, expedite approvals, and maintain a defensible execution record.

Standardize Names and Titles
Use the exact registered legal name for each party and include the signer’s official title. This minimizes ambiguity, supports tax reporting, and helps verify authority during disputes or audits.
Attach Necessary Exhibits and Schedules
Include referenced exhibits, price lists, and statement of work at execution. Missing exhibits are a frequent cause of downstream disagreement and can nullify essential performance terms.
Confirm Signatory Authority in Advance
Obtain authorization letters or corporate resolutions where appropriate. Verifying authority before signature avoids claims of unauthorized execution and simplifies enforcement.
Preserve an Audit Trail and Copies
Retain time-stamped signed copies, IP addresses, and authentication logs. These records support intent, attribution, and integrity claims under ESIGN and state electronic records laws.
