Common mistakes to avoid when preparing the Business Agreement Curtis

  • Leaving parties' legal names as DBA or informal names, which causes tax and enforcement complications and prevents proper service of process.
  • Using vague scope language like 'services as needed' without measurable deliverables or acceptance criteria, leading to payment disputes.
  • Failing to specify payment timing and invoicing method, which delays collections and can void backup withholding obligations.
  • Omitting a governing law clause or forum selection, increasing litigation uncertainty and jurisdictional expense.

Penalties and legal risks from incorrect or incomplete agreements

Tax Penalties: Late or incorrect information returns may incur $60–$330 per form or higher for intentional disregard.
I-9 Violations: $281–$2,789 per paperwork violation for improper employment verification.
Backup Withholding: Missing or incorrect TIN can trigger 24% backup withholding on payments.
Enforceability: Ambiguous terms or improper signatory authority can render key clauses unenforceable.
Notarization Failures: Missing notary or witness where required may delay recordings and closings.
Intentional Misreporting: Intentional disregard of filing rules exposes the filer to uncapped penalties per form.
