Use exact legal names
Confirm entity names against formation documents or government ID. Small differences in punctuation or abbreviations can create enforceability disputes or payment routing errors.
Standardize payment language
Spell out amounts, invoicing cadence, acceptable payment methods, and remedies for late payment. Avoid undefined terms such as 'reasonable time' or 'promptly.'
Choose suitable governing law
Select the jurisdiction most closely connected to performance or your primary operations. Note New York uses ESRA while most states have adopted UETA.
Keep an audit trail
When signing electronically, retain an audit log showing signer identity, timestamps, IP address, and any authentication steps to support attribution under ESIGN/UETA.
