What the Business Agreement Ernie Houde Is and When It Applies

The Business Agreement Ernie Houde is a standard commercial contract template used to document the terms between two or more business parties, including scope of work, payment, term, and termination provisions. It sets expectations, allocates risk, and records consideration so the parties have a written basis for performance, dispute resolution, and future enforcement. Use this agreement when parties intend to create binding obligations, memorialize negotiated terms, or delegate deliverables; it can be executed in paper or electronically in compliance with U.S. e-signature laws.

Why this Agreement Matters for Practical and Legal Certainty

A clear written agreement reduces misunderstandings, preserves contractual rights, and supports enforceability under U.S. electronic signature laws such as the ESIGN Act (15 U.S.C. ch. 96) and UETA (1999). It also defines payment, liability, and termination terms so parties can plan performance and compliance.

Clear identification of each legal entity including legal name, entity type, address, and taxpayer identification to avoid ambiguity.

Scope

Specific deliverables, milestones, and acceptance criteria; attach SOW or exhibits for detail rather than relying on summary text.

Compensation

Payment amounts, invoicing schedule, payment method, late fees, and any retainers or milestones tied to payment.

Term & Termination

Contract start and end dates, renewal mechanics, termination for convenience or cause, and post-termination obligations.

Liability

Limitation of liability, indemnities, insurance requirements, and exceptions for willful misconduct or gross negligence.

Governing Law

Specify the state law governing the agreement and venue for disputes; this choice affects interpretation and procedural rules.

Supporting Documents to Attach with the Agreement

Attach documents that clarify obligations and evidence performance to reduce later disputes and support audits.

Statement of Work

Detailed scope, deliverables, and schedule that operationalizes the contract summary and acceptance criteria.

Pricing Exhibit

Line-item pricing, discounts, billing milestones, and expense reimbursement policy to avoid payment disputes.

Insurance Certificate

Current coverage limits and endorsements that meet contractually required insurance obligations.

Change Order Form

Template for documenting scope changes, approvals, and the impact on cost and schedule.

Common Pitfalls to Avoid When Preparing the Agreement

  • Vague scope language that leaves material obligations undefined and elevates the risk of disputes and delays.
  • Incorrect legal entity names or signatory titles that prevent enforcement or create tax reporting issues.
  • Missing or inconsistent payment terms which can lead to missed invoices, interest disputes, and collection costs.
  • Failing to confirm signatory authority, resulting in unsigned commitments or avoidable repudiation claims.

Legal and Financial Risks of Inaccurate or Incomplete Agreements

Enforceability Risk: Ambiguous terms can render obligations unenforceable in court
Tax Exposure: Incorrect payer/recipient identification may trigger backup withholding
Regulatory Noncompliance: Industry rules (HIPAA, SEC) may impose additional obligations
Contractual Liability: Unlimited indemnities or unclear limitations increase exposure
Operational Delays: Absent milestones cause missed deliverable tracking
Costs: Attorney and remediation fees for correcting defective agreements
