What the Business Agreement for LC and CIC Is

A Business Agreement for LC and CIC is a written contract that sets out the rights, duties, and commercial terms between two corporate entities identified as the LC and the CIC. It defines scope of work, payment and invoicing terms, liability allocation, confidentiality, intellectual property ownership, and termination rights. The agreement documents expectations, timelines, deliverables, and dispute resolution mechanisms to reduce ambiguity and provide enforceable remedies. When executed properly, it becomes the primary legal instrument governing the commercial relationship between the parties.

Why a Clear Business Agreement Matters

A well-drafted agreement reduces dispute risk, allocates financial and operational responsibilities, supports regulatory compliance, and provides clear remedies for breach. It documents payment schedules and IP ownership and establishes governing law and dispute resolution terms to improve predictability for both parties.

Why a Clear Business Agreement Matters

Who Typically Prepares and Signs This Agreement

The agreement is prepared and reviewed by business owners, contract managers, and legal counsel before execution.

  • Founders and executives who negotiate commercial terms and approve financial commitments.
  • In-house or outside attorneys conducting legal review and tailoring clauses to risk tolerances.
  • Operations and finance teams handling deliverables, invoicing, and performance milestones.

Final signatures are typically applied by authorized officers or managing members with authority under each entity’s governing documents.

Authorized Signers and Their Roles

Managing Member

A managing member for the LC usually has authority under the operating agreement to bind the company. That signer should confirm delegated authority, supply an EIN or TIN, and sign using a name that matches corporate records to avoid enforcement issues.

Authorized Officer

An authorized corporate officer for the CIC should be identified by title and confirmed in corporate minutes or a board resolution. The signature should be accompanied by printed name, title, and date to establish attribution and signatory intent.

Core Components to Include in the Agreement

A complete Business Agreement for LC and CIC contains several standard sections that together define the commercial relationship and legal remedies.

Parties

Identify each entity by full legal name, entity type, state of organization, and principal address. Accurate party identification prevents ambiguity and aids in enforcement.

Scope of Work

Describe deliverables, performance milestones, acceptance criteria, and any service-level expectations. Attach schedules or exhibits for clarity when work is complex.

Payment Terms

State currency, amounts, invoicing cadence, late fees, and payment methods. Include tax responsibilities and any escrow or retainer arrangements.

Confidentiality

Define confidential information, permitted disclosures, exceptions, duration of confidentiality, and remedies for unauthorized disclosure.

Intellectual Property

Specify ownership of pre-existing IP, assignment of work product, license grants, and rights to use or modify deliverables after termination.

Termination & Remedies

Set termination triggers, cure periods, wind-down obligations, and limitation of liability or indemnification provisions.

Step-by-Step: How to Complete the Agreement

Follow this order to reduce errors and ensure the agreement is enforceable and clear for both parties.

  • 01
Collect Documents: Gather formation documents, EIN, and board resolutions for signatory authority.
  • 02
Draft Terms: Define scope, payment, IP, and termination terms clearly and in plain language.
  • 03
Legal Review: Have counsel review for regulatory, tax, and liability issues before finalizing.
  • 04
Execute: Sign, date, and distribute fully executed copies to all parties; record retention follows.

Setting Up an Online Signing Workflow

Configure workflow settings to match the agreement’s execution requirements and authentication needs.

Field Configuration
Authentication Method Email link, SMS code, or KBA depending on required signer assurance
Signature Order Sequential or parallel signing based on negotiation and approvals
Notifications Automatic reminders and completion receipts to parties and administrators
Retention Policy Set document retention period and export format (PDF/A preferred)

Typical eSigning Sequence for This Agreement

A standard digital workflow reduces turnaround time and preserves a clear audit trail for each signature event.

  • Upload Document: Sender uploads final PDF or DOCX to the signing platform.
  • Place Fields: Add signature, initials, and date fields for each signer.
  • Send to Signers: Signers receive secure links or email invites to review and sign.
  • Completion: Signed copies and an audit trail are generated and distributed automatically.

Technical Considerations for Electronic Execution

Ensure your platform supports the authentication, audit trail, and export formats required by your organization and regulators.

  • File Formats: PDF, DOCX, and searchable PDF recommended for records.
  • Integrations: Connectors for Salesforce, NetSuite, Microsoft 365, and Google Workspace expedite workflows.
  • Security: TLS in transit and AES-256 at rest protect document integrity.

Choose settings that preserve an auditable certificate of completion, support retrieval in common formats, and align with retention policies.

Security and Compliance Essentials
