Provider may retain copies for its records and to demonstrate prior experience.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from claims arising out of its breach of this Agreement or its willful misconduct. EXCEPT FOR INTENTIONAL MISCONDUCT OR GROSS NEGLIGENCE, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, SPECIAL OR INCIDENTAL DAMAGES. PROVIDER'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY CLIENT TO PROVIDER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Notices

All notices under this Agreement must be in writing and delivered to the addresses set forth below by hand, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be effective upon receipt.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located within that state for disputes arising under this Agreement.

This Agreement, together with any exhibits or statements of work attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

The parties are independent contractors and nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, or agency between the parties. What the Business Agreement JaiGra Is and when it's used

The Business Agreement JaiGra is a structured, written contract template used to define commercial terms between two or more parties, including scope of work, payment, timelines, and dispute resolution. It is intended for routine commercial engagements and may be adapted with exhibits for schedules, pricing, or technical specifications. When executed correctly the document creates enforceable obligations under contract law; parties should select governing law, confirm authorized signatories, and record effective dates. Use precise party names and consideration clauses to avoid ambiguity and reduce disputes.

Why a clear Business Agreement JaiGra matters for your transactions

A clear Business Agreement JaiGra sets expectations, allocates risk, and documents consideration and deliverables; that reduces ambiguity that commonly drives disputes. Well-drafted agreements also support regulatory compliance and evidence of commercial intent when resolving disagreements or enforcing obligations in court.

Use precise dates and amounts
Avoid relative terms like 'promptly' or 'reasonable'; use exact days, dollar amounts, and measurable performance criteria to reduce disputes.
