What the Business Agreement Mattei is and when it applies

The Business Agreement Mattei is a standardized commercial contract template used to record the rights, obligations, and payment terms between two or more business parties. It typically includes parties' identities, scope of services or goods, consideration, term and termination provisions, confidentiality and IP clauses, indemnities, and dispute resolution language. The template is adaptable to sales, service engagements, and joint ventures; users should confirm any industry-specific addenda and ensure elected governing law and signature authority are correct before execution.

Why a clear Business Agreement Mattei matters for enforceability

A well-prepared Business Agreement Mattei clarifies expectations and reduces contract disputes while supporting enforceability under federal and state electronic-signature laws such as the ESIGN Act (15 U.S.C. §7001) and state UETA statutes.

Why a clear Business Agreement Mattei matters for enforceability

Who typically completes the Business Agreement Mattei

The template is used by a range of business roles who negotiate, approve, or administer contracts.

  • Small business owners and founders who need clear payment and service terms
  • Procurement and purchasing managers who collect vendor commitments and delivery schedules
  • In-house counsel and contract managers who review risk, liability, and governing-law provisions

Use the agreement with counsel when adapting material legal terms or when state-specific filing or notarization may be required.

Primary users and signature authorities

Managing Partner

A managing partner or C-suite officer signs on behalf of an entity when corporate bylaws or operating agreements authorize execution. Confirm delegation of authority to avoid invalid signature claims and ensure the signatory name matches the entity’s legal name on file.

Procurement Officer

Procurement or purchasing officers often execute standard-form agreements within delegated thresholds. Verify internal approval limits and include a reference to the purchase order or budget authorization to link payments to an approved commitment.

Essential sections to include in a Business Agreement Mattei

A professional Business Agreement Mattei organizes core terms so courts or arbiters can readily interpret intent and remedies.

Parties

Identify each contracting party by full legal name, business entity type, and principal place of business; include registration or EIN when relevant to tax or credit checks.

Scope of Work

Describe services or goods with sufficient specificity, deliverables, milestones, and acceptance criteria to avoid later disputes over performance expectations.

Payment Terms

State consideration, invoicing cadence, late fees or interest, and any holdback or escrow arrangements that affect cash flow and remedies for nonpayment.

Term and Termination

Specify effective date, renewal mechanics, termination for convenience and cause, and required notice periods for each termination right.

Confidentiality and IP

Allocate ownership of preexisting and newly created intellectual property and impose confidentiality obligations with defined exceptions for disclosure.

Dispute Resolution

Choose governing law, venue, and whether disputes go to arbitration or court; include interim relief and performance continuation clauses where needed.
