What the Business Agreement McDonald-Kayleigh Is

The Business Agreement McDonald-Kayleigh is a bilateral commercial contract that sets out the rights, duties, deliverables, payment terms, confidentiality obligations, liability limits, and termination mechanics between the named parties. It typically includes an effective date, exhibits (scope, fee schedule), signature blocks for authorized signers, and a governing law clause. The agreement can be executed electronically in the United States where ESIGN or UETA applies, subject to exceptions for particular document types or statutory requirements.

Who Should Sign and Why Their Role Matters

Company Officer

A Company Officer (CEO, President, CFO) usually has express authority to bind the entity. Confirm that bylaws or a corporate resolution provide signature authority and retain supporting documentation to defend enforceability if challenged.

Authorized Agent

An Authorized Agent (VP, Director, or delegated signatory) can sign when documentation shows delegation of authority. Keep powers of attorney or internal delegation records to establish authority for counterparties and third parties.

Practical Tips for Accurate and Efficient Completion

Small, consistent actions reduce errors and speed execution across teams and tools.

Confirm signer authority ahead of time
Obtain and store corporate resolutions or written authorizations before sending for signature; this avoids last-minute delays and reduces risk of unenforceability.
Standardize dates and formats
Use MM/DD/YYYY consistently, centralize exhibit labels, and avoid ambiguous terms to make automated processing and later review straightforward.
Use clear exhibit references
Attach numbered exhibits and reference them precisely in the body; missing or misreferenced exhibits are a common cause of disputes.
Preserve an audit trail and version control
Keep the executed PDF and a signed audit certificate showing timestamps, IP addresses, and signer authentication method for evidentiary support.
