BUSINESS AGREEMENT MONROE

This Business Agreement Monroe (the Agreement) is entered into as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client is engaged in the business identified by Client and requires certain services related to business operations and projects described in this Agreement; and

WHEREAS, Service Provider has the expertise and capacity to perform the services described herein and agrees to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding the performance, payment, confidentiality and termination of the services to be provided.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below in a professional manner consistent with industry practices. The parties agree the scope will include the tasks, milestones and deliverables specified by Client and reasonably necessary to complete the work.

PAYMENT TERMS

In consideration for the services performed by Service Provider, Client shall pay Service Provider as set forth below. All monetary amounts are in U.S. dollars unless otherwise agreed in writing.

Invoices shall be rendered by Service Provider in accordance with the schedule above and are payable within days of receipt, unless otherwise agreed in writing.

If any payment is not received by Service Provider within the time specified above, Client shall pay interest at the rate of % per month on the overdue balance, or the maximum rate allowed by law, whichever is lower. In addition, Service Provider may suspend performance until overdue amounts are paid.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Termination for convenience by either party requires the notice period specified above.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential all information disclosed by the other party (the Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not disclose Confidential Information to third parties except as required for performance and only to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those hereunder.

Confidential Information shall not include information that: (a) is or becomes public through no breach by the Receiving Party; (b) is lawfully received from a third party without obligation of confidentiality; (c) is independently developed by the Receiving Party without use of Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt notice to the Disclosing Party and cooperates to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of courts in that State for disputes arising under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits or schedules attached hereto and any written statements of work signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications. No amendment or modification shall be binding unless made in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or corporate reorganization. Notices required by this Agreement shall be in writing and delivered to the addresses set forth below or to alternate addresses provided in writing.
