BUSINESS AGREEMENT NHRG BA TEA

RECITALS

WHEREAS, Client wishes to engage Service Provider to perform certain services as described in this Agreement; and

WHEREAS, Service Provider has represented that it possesses the experience and ability to provide such services and is willing to perform the services under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their understanding and agreement regarding the scope, compensation, and other material terms governing the relationship.

SCOPE OF WORK

Service Provider will perform the services described below. The services shall include, without limitation, the tasks, deliverables, milestones, and acceptance criteria set forth by the parties.

PAYMENT TERMS

In consideration for Services provided, Client shall pay Service Provider in accordance with the following terms.

Late payment shall incur interest and fees as specified below.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure the breach within the stated cure period after written notice. Termination shall not relieve Client of the obligation to pay for Services performed through the effective date of termination and any non-cancellable obligations incurred by Service Provider.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by one party to the other in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that is (a) in the public domain through no breach of this Agreement, (b) rightfully known by the receiving party prior to disclosure, (c) rightfully obtained from a third party without restriction, or (d) independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall: (i) hold Confidential Information in strict confidence and not disclose it to any third party except as expressly permitted herein; (ii) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement; and (iii) take reasonable measures to protect Confidential Information no less protective than those it takes to protect its own confidential information. These obligations shall continue for a period of three (3) years following the termination of this Agreement, except that trade secrets shall remain protected for so long as they remain trade secrets under applicable law.

INDEPENDENT CONTRACTOR; INSURANCE; INDEMNITY

Service Provider is an independent contractor and not an employee, agent, or partner of Client. Service Provider shall be solely responsible for all taxes, withholdings, and other statutory obligations arising from the compensation paid under this Agreement. Each party shall maintain appropriate insurance covering its obligations under this Agreement. Service Provider shall indemnify and hold Client harmless from claims arising out of Service Provider's negligence or willful misconduct in performing the Services.

LIMITATION OF LIABILITY

Except for liability arising from intentional misconduct, gross negligence, or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, special, or punitive damages. The aggregate liability of either party for any claim arising out of this Agreement shall not exceed the total fees actually paid to Service Provider under this Agreement in the twelve (12) month period preceding the event giving rise to the claim.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law rules. The parties shall first attempt to resolve disputes by good faith negotiations. If negotiations fail, disputes shall be resolved by binding arbitration or in the courts as chosen by the parties in the Governing Law state as set forth below.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No modification or amendment shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing, and shall be deemed given when delivered personally or three (3) business days after deposit in the mail, postage prepaid, certified or registered.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they have had the opportunity to seek independent legal counsel and that this Agreement shall be interpreted without presumption against the drafting party.
