BUSINESS AGREEMENT PA

This Business Agreement PA ("Agreement") is entered into as of (the Effective Date), by and between ("Client") and ("Contractor"). Each of Client and Contractor may be referred to herein as a Party and collectively as the Parties.

WHEREAS

WHEREAS, Client desires to obtain certain business services from Contractor as set forth in this Agreement; and

WHEREAS, Contractor has represented that Contractor possesses the necessary experience, personnel and technical ability to perform the services described herein and agrees to provide such services to Client pursuant to the terms and conditions of this Agreement.

1. SCOPE OF WORK

Contractor shall perform the professional services and deliverables described below in accordance with the standards of care and skill customary in Contractor's industry:

2. PAYMENT TERMS

Compensation for the services under this Agreement shall be as follows. Client shall pay Contractor the amounts specified below in exchange for the services and deliverables described in Section 1.

Late payments will accrue interest at the rate set forth below. Contractor may suspend performance for any unpaid amounts following ten (10) days' written notice.

3. TERM AND TERMINATION

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for convenience upon written notice to the other Party delivered no fewer than days prior to the effective termination date. Either Party may terminate immediately for material breach that remains uncured for a period of thirty (30) days following written notice specifying the breach.

4. CONFIDENTIALITY

"Confidential Information" means all information disclosed by one Party to the other that is marked as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each Party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement; and (c) use Confidential Information solely for the performance of its obligations under this Agreement. The obligations of confidentiality do not apply to information that is: (i) publicly known through no breach by the receiving Party; (ii) rightfully received from a third party without restriction; (iii) independently developed without use of the Confidential Information; or (iv) required to be disclosed by law, provided the disclosing Party gives prompt notice and cooperates to seek protective measures.

5. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Contractor grants to Client a non-exclusive, royalty-free license to use deliverables created under this Agreement for Client's internal business purposes. Contractor represents that deliverables delivered to Client will not infringe third-party intellectual property rights. Any pre-existing materials of a Party shall remain the sole property of that Party.

6. INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party and its officers, directors and employees from and against any third-party claim, liability, loss or expense arising out of the indemnifying Party's breach of this Agreement, negligence, or willful misconduct. The indemnified Party shall provide prompt written notice of any claim and shall cooperate in the defense, which shall be conducted by counsel reasonably acceptable to the indemnifying Party.

7. NOTICES

All notices under this Agreement shall be in writing and delivered to the Parties at the addresses below by personal delivery, certified mail (return receipt requested), or overnight courier. Notices are effective upon receipt.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for resolution of disputes arising under this Agreement.

9. ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both Parties.

10. MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other Party, except that either Party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets provided the assignee assumes the obligations hereunder. The waiver of any breach or right under this Agreement shall be effective only if in writing and signed by the waiving Party.
