BUSINESS AGREEMENT PAP AOB

This Business Agreement PAP AOB ("Agreement") is entered into by and between Client Name: , Client Address: and Service Provider Name: , Service Provider Address: .

RECITALS

WHEREAS, Client requires certain services related to repair, restoration, or adjustment of loss and related work described herein; and

WHEREAS, Service Provider represents that it has the experience, personnel, equipment and authority necessary to perform the services and, where applicable, to pursue and collect insurance proceeds on Client's behalf pursuant to an Assignment of Benefits; and

WHEREAS, the parties desire to set forth the terms and conditions under which the services will be provided, payment will be made, and any assignment of insurance benefits or power to act (PAP AOB) will be effected.

SCOPE OF WORK

PAYMENT TERMS

ASSIGNMENT OF BENEFITS AND AUTHORITY (PAP AOB)

Client hereby assigns to Service Provider all rights to insurance benefits, claims proceeds, and related recoveries arising from the loss or damage described in the Scope of Work to the extent necessary to compensate Service Provider for services rendered under this Agreement. Client authorizes Service Provider to:

  • communicate with Client's insurer(s) concerning the claim;
  • receive claim payments directly on behalf of Client for work performed under this Agreement; and
  • execute and endorse for deposit checks or electronic disbursements related to the assigned benefits.

Client acknowledges that this Assignment of Benefits is limited to proceeds for services described in this Agreement and does not relieve Client of any deductible, co-pay or other policy language obligations unless explicitly stated herein.

Client affirms and accepts the Assignment of Benefits and authorizes Service Provider to act as assignee and agent with respect to insurance claims under this Agreement.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the effective termination date.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public business, technical and financial information disclosed by the other party in connection with the performance of this Agreement ("Confidential Information"). Confidential Information shall not include information that is or becomes generally available to the public through no fault of the receiving party, is independently developed without use of the disclosing party's Confidential Information, or is required to be disclosed by law or valid judicial process (with prior notice to the disclosing party where permitted).

Both parties acknowledge their respective obligations to protect Confidential Information as set forth in this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Venue for any dispute arising out of or related to this Agreement shall be in courts located within that state.

ENTIRE AGREEMENT

This Agreement, including any exhibits and written change orders executed by both parties, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, losses and expenses arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

Notices: All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing.
