What the Business Agreement PAQ Is and When It Applies

The Business Agreement PAQ is a standardized questionnaire used to collect the factual, financial, and legal details needed to draft or review a commercial agreement. It gathers party names, legal entity types, contact details, scope of work, pricing or consideration, term and termination provisions, insurance and indemnity data, confidentiality and IP allocations, and preferred governing law. The PAQ is typically completed before counsel drafts a final agreement, before contract negotiations begin, or when onboarding a counterparty into a contract management system to ensure consistent decision-making and audit-ready records.

Why a Business Agreement PAQ Matters for Accurate Contracts

A complete PAQ reduces drafting errors, clarifies negotiable points early, and documents facts needed for enforceable terms and regulatory compliance. It creates a consistent record of representations used in contract formation and supports faster review by legal, procurement, and finance teams.

Why a Business Agreement PAQ Matters for Accurate Contracts

Who Typically Completes the Business Agreement PAQ

The PAQ is designed for cross-functional completion: legal drafts the contract language, procurement quantifies commercial terms, and business owners confirm operational details before signature.

  • Procurement and sourcing teams complete commercial and pricing fields for vendor agreements.
  • Legal and contract managers review representations, governing law choices, and indemnity language.
  • Business unit leads or project managers confirm scope, deliverables, timelines, and acceptance criteria.

Using a coordinated PAQ helps ensure the final agreement aligns with internal approvals and reduces rework during signature or post-execution disputes.

Authorized Signers and Their Responsibilities

Authorized Signer — CEO

The CEO or president often signs high-value or strategic agreements after legal and finance approvals. Their signature confirms corporate authority and may bind the company to representations and indemnities in the PAQ.

Authorized Signer — Procurement

A delegated procurement officer may sign routine vendor contracts within preapproved authority limits. The PAQ must document delegation, purchase order limits, and internal approval chains to validate their signature.

Essential Data Elements to Include in the PAQ

Entity Legal Name: Exact registered name
Tax ID / EIN: Employer identification number
Authorized Signer: Name and title
Effective Date: MM/DD/YYYY format
Scope Summary: Concise deliverables outline
Payment Terms: Net days and currency

Step-by-Step: Completing the Business Agreement PAQ

Follow this order to ensure the PAQ captures information needed to draft an enforceable agreement and to speed internal reviews.

  • 01
Collect party data: Gather legal names, EINs, and addresses first
  • 02
Define scope: Summarize deliverables, milestones, and acceptance criteria
  • 03
Specify commercial terms: Enter pricing, invoicing, and payment windows
  • 04
Confirm approvals: Attach procurement and legal sign-off notes

How to Configure an Online PAQ Workflow

Set up routing and fields before sending to ensure correct sequencing of inputs and approvals in your eSignature platform.

Field Configuration
Approver Order Sequential or parallel signer routing
Required Fields Mark legal name, EIN, effective date required
Authentication Email + SMS or KBA for high-risk signers
Retention Auto-archive signed copies to contract repository

Digital Signing and Distribution Considerations

Choose a platform that supports required authentication, audit trails, and secure storage when completing and executing the PAQ.

  • Integrations: Salesforce, NetSuite, Google Workspace, Microsoft 365
  • File formats: PDF, DOCX, and fillable forms supported
  • Security: TLS 1.2/1.3 and AES-256 encryption

Ensure the chosen solution can produce an audit trail, apply conditional fields, and retain signed records according to legal and company retention policies.

Where to Send or File the Completed PAQ

Follow these routing steps so the PAQ is reviewed, approved, and archived by the correct teams.

  • Initial Submit: Send to procurement for commercial review
  • Legal Review: Legal assesses representations, indemnities, and governing law
  • Finance Review: Finance confirms payment terms and PO matching
  • Archive: Store executed PAQ with contract repository

Typical Timelines and Deadlines When Using the PAQ

Track these common calendar items to avoid missed filings, payment setup delays, or contract lapses.

PAQ Completion Target:

Complete before first draft; typically 3–10 business days

Legal Review Window:

Allow 5–15 business days depending on complexity

Procurement Approval:

1–7 business days after receipt

Signature Collection:

Often completed within 24–72 hours with eSignature

Onboarding Start:

Begin services after executed agreement and PO issuance

Common Mistakes to Avoid When Preparing the PAQ

  • Using informal or trade names instead of the legal entity name, causing enforcement issues
  • Leaving essential fields blank, which delays drafting and approvals
  • Failing to record approval delegation, creating signature authority disputes
  • Omitting standard attachments like SOWs or insurance certificates that the contract requires

Risks and Legal Consequences of Incomplete or Incorrect PAQs

Invalid Authority: May render contract voidable if signer lacks delegation
Tax Exposure: Incorrect TIN can trigger backup withholding under IRC §3406
Breach of Law: Noncompliance with industry rules risks fines and enforcement
Late Payments: Missing payment terms can cause interest or penalties
Data Breach: Improper handling of PII creates HIPAA or state privacy obligations
Signature Challenges: Disputed signatures raise enforceability issues under ESIGN (15 U.S.C. §7001)

Sample Use Cases Showing How Teams Use the PAQ

Practical examples illustrate how different organizations apply the PAQ to speed workflows and reduce errors.

Optica Ventures

Optica used a PAQ to standardize vendor onboarding and reduce back‑and‑forth during negotiations.

  • PAQ captured insurance and payment limits in one pass.
  • The result was faster legal review and clearer procurement approval paths, reducing contract cycle time for each vendor by several days while preserving audit records.

Martin Properties

A property management firm used a PAQ for service contracts to ensure consistent SLAs across sites.

  • PAQ linked to SOW exhibits and insurance certificates.
  • That approach minimized ad hoc clauses, improved compliance verification, and made renewals more predictable across hundreds of small contracts.
