BUSINESS AGREEMENT — RECYCLING LLC

This Business Agreement ("Agreement") is entered into as of between the following parties:

WHEREAS

WHEREAS, Client requires services for the collection, processing, and disposition of recyclable materials, and Company represents that it has the experience, personnel, equipment, and permits necessary to provide such services in compliance with applicable law; and

WHEREAS, the parties desire to set forth the terms and conditions under which Company will provide recycling and related services to Client, including specifications as to scope, scheduling, payment, confidentiality and termination;

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. SCOPE OF WORK

Company shall perform the services described below (the "Services") in accordance with the specifications and schedule agreed by the parties.

2. PAYMENT TERMS

Client shall pay Company for the Services as set forth below. All payments are due in U.S. dollars and are exclusive of any taxes for which Client is responsible.

3. TERM AND TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated as provided below, shall continue until the End Date or until completion of the Services.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above following written notice. Company may immediately suspend Services if Client fails to pay undisputed amounts when due. Upon termination, Client shall pay Company for Services performed through the effective date of termination and for reasonable wind-down costs.

4. CONFIDENTIALITY

Each party acknowledges that in the course of performing under this Agreement it may receive proprietary or confidential information ("Confidential Information") of the other party. Confidential Information shall include, without limitation, pricing, customer lists, technical processes, and operational data, whether disclosed orally, in writing or otherwise.

Each party agrees: (a) to hold Confidential Information in strict confidence and to use it only for the purposes of performing under this Agreement; (b) to restrict disclosure to its employees, agents or subcontractors with a need to know who are bound by confidentiality obligations at least as protective as those herein; and (c) to take reasonable measures to prevent unauthorized disclosure. Confidential Information shall not include information that is or becomes publicly available through no breach of this Agreement, independently developed without use of the other party's Confidential Information, or required to be disclosed by law, provided that the disclosing party gives prompt written notice and cooperates in any protective measures.

5. LIABILITY AND INSURANCE

Company shall maintain commercially reasonable insurance coverages appropriate to the Services, including general liability and automobile liability insurance. Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, special, or punitive damages. Each party's aggregate liability for direct damages arising out of this Agreement shall be limited to the total amount actually paid by Client to Company under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

6. COMPLIANCE WITH LAW

Each party shall perform its obligations in compliance with all applicable federal, state and local laws, regulations and permits relating to the collection, handling, processing, transport and disposal of recyclable materials. Company shall obtain and maintain any permits or licenses necessary to perform the Services.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

8. ENTIRE AGREEMENT

This Agreement, including any attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.
