Use precise language
Avoid ambiguous terms and define key contract terms such as 'deliverable', 'business day', or 'completion' to reduce disagreement and litigation risk.
Confirm signer authority
Document that the signer has the corporate authority to bind the entity; require evidence of delegated authority for non-officers to avoid challenges later.
Keep version control
Label drafts clearly and date each revision. Circulate only the final agreed version for signature to prevent disputes over which text governs.
Capture audit metadata
Retain timestamps, IP addresses, and the certificate of completion for e-signed contracts to support admissibility under ESIGN and UETA.
