What the Business Agreement Taylor & Scott Covers

The Business Agreement Taylor & Scott is a bilateral contract that records the commercial relationship, obligations, payment terms, confidentiality provisions, and dispute-resolution procedures between the named parties. It defines the scope of services or goods, the effective date and term, performance milestones, and remedies for breach. The template is structured to be used in typical U.S. commercial contexts and can be executed electronically when parties satisfy ESIGN and applicable state e‑signature laws. The agreement is intended to be modular so attachments and exhibits (SOWs, schedules, pricing matrices) can be added without retyping the core terms.

Why this agreement matters for business relationships

A clear written agreement reduces ambiguity about scope, timing, payment, and liability, making disputes less likely and easier to resolve. It also documents expectations for deliverables, acceptance criteria, and governance.

Core components to include in a professional agreement

Ensure the agreement contains these essential clauses to define obligations, risk allocation, and administrative processes clearly.

Parties

Identify legal names, entity types, and contact details for notice delivery so obligations are assigned correctly and communications are reliable.

Scope and Deliverables

Describe work, milestones, acceptance criteria, and deliverable formats; reference attached SOWs or schedules to prevent scope disputes.

Payment and Taxes

Specify fees, billing cycle, due date, expense reimbursement, invoicing instructions, and which party bears applicable taxes.

Confidentiality

Define confidential information, permitted disclosures, duration of confidentiality obligations, and remedies for unauthorized use or disclosure.

Indemnity and Liability

Allocate risk through indemnities, liability caps, and exclusions; be explicit about consequential damages and insurance requirements.

Termination and Remedies

Set termination rights for breach or convenience, notice periods, cure windows, and post-termination obligations such as return of materials.

Download formats and supporting paperwork to keep with the agreement

Collect and preserve supporting documents that substantiate contract terms and facilitate performance tracking.

Final Executed Copy

Save as PDF (PDF/A preferred) with attached audit trail and signer certificate for legal proof.

Statement of Work

Attach detailed SOW as an exhibit to ensure scope and acceptance criteria are enforceable.

Insurance Certificates

Keep current COIs and endorsements if the contract requires coverage levels or additional insured status.

Change Orders

Record subsequent amendments or change orders with dates, authorizations, and signed approvals.

Practical tips for accurate and efficient completion

Use consistent practices to reduce errors, speed approvals, and preserve enforceability.

Use full legal names and titles
Avoid trade names in the party section; include the signatory's printed name and corporate title to ensure authority and clarity.
Attach detailed exhibits
Keep technical specifications, pricing tables, and SOWs as exhibits to prevent ambiguity and simplify amendments.
Confirm signer authority
Validate that the signer has corporate authority; for larger transactions, obtain a board resolution or delegation of authority if required.
Preserve an audit trail
Retain timestamps, IP logs, and consent records from the eSignature platform to support enforceability under ESIGN and UETA.

Common mistakes to avoid when preparing this agreement

  • Using colloquial party names instead of legal entity names can void enforcement.
  • Leaving key commercial terms (price, term, scope) vague invites disputes.
  • Not documenting exhibits or attachments leads to conflicting expectations.
  • Failing to confirm signer authority can render the contract voidable.

Primary risks and possible consequences of errors

Contract Voidability: Missing authority may allow rescission; weak signatures can be challenged.
Liability Exposure: Uncapped indemnities can create unlimited financial risk.
Tax Impacts: Incorrect payment terms may trigger reporting or withholding liabilities.
Operational Delays: Ambiguous milestones slow project starts and invoicing.
Evidence Gaps: Lack of audit trail undermines enforceability of electronic signatures.
Notarization Failure: Missing required notarization or witnesses can affect recording or probate use.
