BUSINESS AGREEMENT WATERS

Each party shall indemnify, defend and hold harmless the other from and against any third-party claims, liabilities, losses, costs and expenses arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct. Parties shall maintain commercially reasonable insurance coverage appropriate to their obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all schedules and exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. This Agreement may not be amended except by a written instrument signed by both parties.
