Business AK FA Document

This Business Acknowledgement and Financial Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Company represents that it has experience and capacity to provide financial administration, acknowledgement of receivables and related advisory services to business entities in the ordinary course of business; and

WHEREAS, Counterparty desires to engage Company to provide the services described in this Agreement under the terms and conditions set forth below, and Company is willing to perform such services for compensation on the terms agreed herein; and

WHEREAS, the parties intend by this Agreement to set forth the duties, payment obligations, confidentiality obligations and the general framework governing their business relationship.

Scope of Work

Company shall perform the services described below. The duties may include, without limitation, acknowledgement of accounts, financial administration, reporting, reconciliation, advisory on receivable financing, and coordination with Counterparty's financial representatives.

Payment Terms

Counterparty shall pay Company the fees and reimbursements specified below in accordance with the schedule provided. All sums are payable in lawful currency unless otherwise agreed in writing.

Unless otherwise expressly agreed in writing, payments not received within five (5) business days of their due date shall be subject to the Late Payment Fee set forth above and Company may suspend performance until outstanding amounts are paid in full. All collection costs, including reasonable attorneys' fees, incurred by Company to recover overdue amounts shall be payable by Counterparty.

Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon prior written notice to the other party delivered at least the number of days specified above. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Counterparty of its obligation to pay for Services performed and costs incurred through the effective date of termination.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including financial records, customer lists, pricing, business plans and trade secrets. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as permitted by this Agreement or with prior written consent; and (c) use Confidential Information only to perform its obligations or exercise its rights under this Agreement.

The foregoing obligations shall not apply to information that (i) is or becomes publicly known through no breach of this Agreement; (ii) is received from a third party without breach of any confidentiality obligation; (iii) is independently developed without use of the other party's Confidential Information; or (iv) is required to be disclosed by law or valid legal process, provided that the disclosing party shall give prompt written notice to the other party and cooperate in any lawful effort to limit disclosure.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflict of laws. The parties submit to the exclusive jurisdiction of the courts located in that state for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including any exhibits and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other. Notices shall be deemed given when delivered personally, sent by confirmed courier, or three (3) business days after deposit in the mail, postage prepaid, certified mail, return receipt requested.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original economic intent. No party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Company may assign to an affiliate or successor in connection with a change of control or sale of substantially all of its assets.
