Business Alarm Service Agreement

This Business Alarm Service Agreement (Agreement) is entered into as of Date: between Client Name: and Service Provider Name: (Provider).

WHEREAS

WHEREAS, Client operates a business at Service Address: and seeks security, alarm monitoring and related services; and

WHEREAS, Provider is engaged in the business of supplying, installing, monitoring, and maintaining alarm and security systems and represents that it has the expertise, licenses, and equipment necessary to perform the services specified in this Agreement; and

WHEREAS, the parties desire to set forth their rights and obligations with respect to the supply, installation, monitoring, maintenance, and operation of alarm equipment and services at the Client premises.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to termination. Provider may terminate immediately for Client's material breach, nonpayment, or if Provider reasonably determines continued performance would violate law or compromise safety.

Confidentiality

Each party shall keep confidential and shall not disclose to third parties any Confidential Information of the other party arising under or in connection with this Agreement. "Confidential Information" includes system access codes, account information, response protocols, security vulnerabilities, and non-public business information. Confidential information does not include information that is or becomes public through no fault of the receiving party or that the receiving party can demonstrate was independently developed.

The receiving party shall use Confidential Information only for the performance of this Agreement and shall take reasonable measures to protect Confidential Information from unauthorized disclosure, at least as protective as those used to protect its own confidential information of similar importance.

Warranties, Liability & Indemnification

Provider warrants that equipment supplied will be free from defects in materials and workmanship for a period of months from installation. Provider's sole obligation for breach of this warranty shall be repair or replacement of defective parts at Provider's option.

Except for willful misconduct or gross negligence, neither party shall be liable to the other for indirect, special, consequential or punitive damages. Provider's aggregate liability arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Provider in the preceding 12 months.

Client shall indemnify, defend and hold harmless Provider from claims, losses or liabilities arising from Client's negligence, willful misconduct, breach of this Agreement, or failure to maintain premises as agreed.

Compliance, Licenses and Permits

Provider represents and warrants that it holds and will maintain all licenses, permits and certifications required to perform the installation and monitoring services described in this Agreement and will comply with applicable laws and industry standards.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, together with any exhibits or appendices executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral.

Access to Premises: Client shall provide Provider with reasonable access, keys or codes required to perform installation, maintenance and monitoring duties. Client will notify Provider promptly of any changes to access protocols or emergency contacts.

Alarm Response: Client acknowledges that alarm signals are monitored and that dispatch decisions are made by the monitoring center in accordance with the agreed response protocol. Provider does not guarantee response time by emergency services.

Acknowledgment

By signing below, the parties acknowledge that they have read and understood this Agreement, that the person signing has authority to bind the party on whose behalf the signature is made, and that this Agreement becomes effective as of the date set forth above.
