What the Business All State Agreement Is

The Business All State Agreement is a standardized multi-jurisdictional contract template designed for commercial transactions that span state lines. It consolidates core commercial terms—scope, payment, indemnity, and dispute resolution—into a single agreement that anticipates common state-level variations. The template is structured to support electronic execution and recordkeeping consistent with U.S. e-signature law, while allowing parties to select governing law, venue, and optional notarization where required.

Why a Standardized All-State Contract Matters

Using a single all-state agreement reduces negotiation cycles, limits drafting inconsistencies, and establishes predictable rules for governing law and enforcement across jurisdictions, saving administrative time and lowering legal review costs.

Why a Standardized All-State Contract Matters

Typical Users and When They Use This Agreement

Organizations and individuals who operate across multiple U.S. states rely on this template to create consistent commercial terms without state-by-state redrafting.

  • Small and mid-size businesses managing multi-state sales, procurement, or service relationships with recurring counterparties.
  • In-house legal teams and contract managers who need a reusable template for faster review and version control.
  • Independent contractors and consultants contracting with clients in different states who want consistent terms and choice-of-law clarity.

The agreement is suitable for repeat transactions and for organizations that need a single master form to distribute to remote signers and partners.

Core Elements Included in a Professional All-State Agreement

A well-drafted all-state agreement groups essential commercial clauses so parties can adopt one form while choosing state-specific options when necessary.

Governing Law

Clear selection of the governing state and fallback rules for interpretation, plus venue and waiver of jury trial options where desired to reduce forum disputes.

Scope of Work

Precise description of services or goods, deliverables, milestones, and attachments such as statements of work to prevent disputes over performance obligations.

Payment Terms

Payment schedule, invoicing procedures, late fees, and remedies for nonpayment, including specified currency and tax responsibilities.

Indemnification

Mutual or asymmetric indemnity clauses that allocate risk for third-party claims, intellectual property infringement, and breaches of confidentiality.

Termination

Termination for convenience and cause, cure periods, and post-termination obligations such as return of materials and final accounting.

Dispute Resolution

Arbitration or litigation provisions, class action waivers, and escalation paths to limit litigation cost and clarify dispute timelines.

  • Place Fields: Assign signature, initials, and date fields.
  • Send to Signers: Send via email link or shared signing URL.

Ensure export options retain signature metadata and that storage meets encryption and industry retention rules.
