This Business ALP Document (the "Agreement") is made effective as of by and between:

WHEREAS, Client desires to engage Service Provider to perform certain business advisory, licensing and performance services as described herein; and

WHEREAS, Service Provider represents that it has the professional capacity, experience and personnel to provide the services on the terms and conditions set forth in this Agreement.

Scope of Work

Service Provider shall perform the services described below. Deliverables, milestones and acceptance criteria shall be as set out in this Scope of Work. Any material change to the Scope of Work must be agreed in writing by authorized representatives of both parties.

Payment Terms

Client shall pay Service Provider for services and deliverables in accordance with the following terms. Fees are exclusive of taxes unless otherwise stated.

Term and Termination

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, continues until .

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach if such breach is not cured within thirty (30) days after written notice.

Confidentiality

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not disclose Confidential Information to third parties except to its employees, agents or contractors on a need-to-know basis and subject to confidentiality obligations at least as protective as those in this Agreement. Confidential Information does not include information that: (a) is or becomes public through no breach by the Receiving Party; (b) was rightfully known to the Receiving Party prior to disclosure; (c) is received without restriction from a third party rightfully possessing such information; or (d) is independently developed without use of the Disclosing Party's Confidential Information.

Representations, Warranties and Indemnity

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations. Service Provider warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. Each party shall indemnify and hold harmless the other party from and against any third-party claims arising from the indemnifying party's negligence, willful misconduct or material breach of this Agreement, subject to any limitations of liability set forth in a mutually agreed written addendum.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below. The parties agree to first attempt to resolve disputes through good faith negotiations. If unresolved, disputes shall be resolved in the courts of the jurisdiction selected by the parties.

Entire Agreement

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement is effective unless in writing and signed by authorized representatives of both parties.

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth above or to such other address as a party designates by notice in accordance with this section.
