What the Business ALTA Document Is

The Business ALTA Document is a standardized commercial real estate form used to disclose a business entity’s corporate identity, authority to sign, recorded instruments, and lien or encumbrance information for title underwriting and closing. Title companies and lenders use it to confirm that the signer can bind the entity, to locate relevant recorded documents, and to identify exceptions that may affect title insurance. Formats vary by title insurer and closing agent, but the form functions as a single source of truth for underwriting, recording, and closing logistics in U.S. transactions.

Why the Business ALTA Document Matters

A properly completed Business ALTA Document reduces underwriting exceptions, clarifies authority to sign for a business, and accelerates closing review. It centralizes corporate, lien, and recording details so title insurers and lenders can assess risk and issue clear title commitments with fewer follow-up requests.

Why the Business ALTA Document Matters

Who Prepares and Reviews This Form

Primary users include lenders, title agents, closing attorneys, and the borrowing business; each party has a specific role in providing or verifying the information.

  • Title companies — verify entity formation, exceptions, and recorded instrument references before issuing a title commitment for the policy.
  • Lenders — confirm authorized signers and UCC or lien searches to satisfy loan conditions prior to funding.
  • Borrowing entity — supplies resolutions, EIN, jurisdiction of formation, and any existing instrument details for accurate public-record matching.

When each party completes their part accurately, the result is fewer underwriting holdbacks, faster closings, and a clearer post-closing record for recording offices and insurers.

Core Sections to Expect on a Business ALTA Document

The document typically breaks into identity, authority, recorded instruments, lien status, ownership interests, and insurer endorsements or exceptions.

Corporate Identity

Legal entity name, DBA, jurisdiction of formation, state filing numbers, and federal EIN. Accurate identifiers ensure title searches return the correct public records and prevent mismatches.

Authority to Sign

Names and titles of authorized signers, corporate resolutions or officer certificates, and notary acknowledgements where required to demonstrate signatory authority for the transaction.

Recorded Instruments

List of mortgages, deeds, easements, UCC filings, and recorded contracts by instrument number, recording date, and county to help the title examiner locate relevant encumbrances.

Lien and UCC Status

Summary of UCC searches, tax liens, and other recorded claims against the business that may affect lender security or title insurance coverage.

Ownership and Interests

Entity ownership structure, parent affiliates, and any ownership encumbrances that could affect vesting or the insured interest in the property.

Endorsements & Exceptions

Requested title endorsements, known exceptions to coverage, and any negotiated exceptions the insurer should note before issuing a policy.

Step-by-Step: Prepare and Submit a Business ALTA Document

Use this sequence to minimize errors and to provide title underwriters with a complete record for review and policy issuance.

  • 01
Gather corporate records: Collect articles, bylaws, resolutions, and current certificates of good standing.
  • 02
Run public searches: Order UCC, tax, and county record searches to identify exceptions.
  • 03
Complete the ALTA form: Enter verified names, EIN, recorded instrument references, and signer information.
  • 04
Verify and deliver: Have counsel or title agent review, then deliver to lender and title insurer.

How to Configure an Online Workflow for This Document

A structured digital workflow reduces rekeying and enforces required fields before submission to title and lender parties.

Field Configuration
Template Locking Lock core identifiers to prevent accidental edits during collaborative review.
Conditional Fields Show resolution upload only when 'entity' is a corporation or LLC.
Signer Authentication Require email verification plus SMS code or KBA for higher assurance.
Audit Trail Enable timestamp, IP, and action logs for every signer and reviewer.

Technical Options for Digital Completion and Submission

Choose a platform that supports PDF+fillable fields, secure eSignature, and strong audit trails for title insurer review.

  • File formats: PDF, DOCX accepted
  • Authentication: Email+SMS or KBA
  • Integrations: CRM and cloud storage

Ensure the chosen system supports preservation of the signed PDF and an unalterable audit record. Integrations with title or loan platforms reduce manual transfer errors and speed closing.

Where to Send the Completed Business ALTA Document

Routing varies by transaction; follow lender and title company instructions and keep a clear chain of custody for closing.

  • To the title company: Deliver signed PDF and supporting corporate documents for underwriting.
  • To the lender: Provide copy with signatures to satisfy loan conditions.
  • To closing attorney: Supply original or certified copies for recording packages.
  • To county recorder: Submit recorded instruments post-closing per county rules.

Typical Timelines and Processing Expectations

Allow time for searches, reviews, and any required notarizations; plan upstream to prevent closing delays.

Provide on request:

Title or lender may request the form at LOI or contract stage.

Search lead time:

Allow 3–5 business days for UCC and county searches.

Notary or RON:

Complete notarization before closing; RON may speed execution.

Underwriting review:

Title insurer review typically requires 1–3 business days after receipt.

Recording:

Record instruments promptly after closing per county practice.

Common Mistakes That Slow Underwriting

  • Entering an incorrect legal entity name or using a DBA instead of the registered legal name, which causes mismatches in secretary of state or county records and delays title clearance.
  • Failing to upload a corporate resolution or certificate of incumbency, leaving the insurer unable to confirm that the signer may bind the business for the transaction.
  • Providing incomplete recorded instrument references (missing instrument numbers or recording counties) that force manual examiner searches and add time to the underwriting process.
  • Skipping notarization or using an in-person notary where the county requires a specific acknowledgement, which can invalidate recording or create post-closing title issues.

Risks and Consequences of an Incorrect Form

Title Exceptions: Unresolved clouds on title
Funding Delays: Lender may withhold closing funds
Insurance Denial: Policy endorsements or exclusions
Recording Rejection: County recorder may refuse recordation
Post‑closing Claims: Third‑party lien disputes
Legal Exposure: Breach of warranty or misrepresentation
