BUSINESS AMBASSADOR AGREEMENT

This Business Ambassador Agreement ("Agreement") is entered into by and between:

RECITALS

WHEREAS, the Company is engaged in the business of promoting and selling its products and services and desires to engage independent representatives to increase brand awareness and generate business referrals; and

WHEREAS, the Ambassador has experience, relationships, and access to prospective customers and is willing to perform promotional services on the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

The Ambassador shall use reasonable efforts to perform the duties described above, including but not limited to outreach, attendance at events, social promotion, lead generation, and follow-up. The Ambassador shall comply with the Company’s brand guidelines and shall not make representations beyond the scope of this Agreement.

PAYMENT TERMS

Invoices: Ambassador shall submit invoices to the Company in accordance with the payment schedule. Invoices shall include sufficient detail to substantiate amounts due. The Company shall pay undisputed invoices within days of receipt.

Late Payment: Any undisputed amount not paid when due shall accrue interest at a rate of per month (or the maximum lawful rate, if lower) after days.

Either party may terminate this Agreement without cause upon written notice to the other party delivered at least days prior to the effective termination date.

Immediate Termination: Either party may terminate immediately for material breach by the other party that remains uncured for days after written notice, for unlawful conduct, or for a breach of the Confidentiality provisions.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by the Company to the Ambassador, whether in writing, orally, or by inspection, including business plans, financial data, customer lists, pricing, marketing strategies, and trade secrets.

Obligations: The Ambassador shall (a) hold Confidential Information in strict confidence; (b) not use Confidential Information except to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party without the Company's prior written consent. The Ambassador shall take all reasonable precautions to protect Confidential Information at least as stringent as those taken with the Ambassador’s own confidential materials.

Exceptions: Confidential Information does not include information that: (i) is or becomes publicly known through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed without use of Confidential Information.

INDEPENDENT CONTRACTOR; COMPLIANCE

The Ambassador is an independent contractor and not an employee, agent, partner, or joint venturer of the Company. The Ambassador shall be solely responsible for all taxes, insurance, and other obligations arising from compensation paid under this Agreement. The Ambassador shall comply with all applicable laws, rules, and regulations in performing services and shall not engage in conduct that would harm the Company's reputation.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions, proposals, and agreements. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

LIMITATION OF LIABILITY; INDEMNIFICATION

Except for breaches of confidentiality or willful misconduct, neither party shall be liable for consequential, incidental, or punitive damages. The Ambassador shall indemnify and hold the Company harmless from third-party claims arising from the Ambassador’s negligent or willful acts in performing services under this Agreement.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth above or to such other address as either party may specify in writing.
