Confidential Information does not include information that (a) is or becomes publicly available through no fault of the receiving party, (b) is rightfully received from a third party without breach of any obligation of confidentiality, or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information. Remedies at law may be inadequate; accordingly, the disclosing party is entitled to injunctive relief in addition to other remedies.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. ENTIRE AGREEMENT

Except as expressly modified by this Addendum, the Original Agreement remains unchanged and in full force and effect. This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

Assignment: Neither party may assign its rights or delegate its duties under this Addendum without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets, provided that the assignee assumes all obligations hereunder.
