This Business Amendment Document ("Amendment") is entered into effective as of by and between:

Confidentiality

"Confidential Information" means non-public information disclosed in writing, orally or by observation, that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees: (a) to hold the other party's Confidential Information in strict confidence; (b) to use Confidential Information solely to perform its obligations under the Original Agreement as amended; and (c) not to disclose Confidential Information to any third party except as expressly permitted in writing or as required by law. The obligations in this clause survive termination of the Original Agreement.

Governing Law

This Amendment shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

Entire Agreement

Except as expressly amended hereby, the Original Agreement remains in full force and effect. This Amendment, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties concerning such subject matter.

Miscellaneous

Except as expressly modified by this Amendment, all terms, conditions, covenants and representations of the Original Agreement remain unchanged and are hereby ratified and confirmed. Any capitalized terms used but not defined in this Amendment shall have the meanings ascribed to them in the Original Agreement.
