BUSINESS AMENDMENT FORM

This Business Amendment (the "Amendment") is made effective as of by and between ("Party A") and ("Party B"). Each of Party A and Party B may be referred to herein individually as a "Party" and collectively as the "Parties."

WHEREAS

WHEREAS, the Parties entered into an agreement titled dated (the "Original Agreement"); and

WHEREAS, the Parties desire to amend certain terms of the Original Agreement as set forth in this Amendment and to confirm that all other provisions of the Original Agreement remain in full force and effect except as expressly modified herein.

AMENDMENT

1. Amendment to Original Agreement. The Original Agreement is amended as follows. Any capitalized terms used but not defined in this Amendment have the meanings given in the Original Agreement.

SCOPE OF WORK

The Parties agree that the Scope of Work, as modified by this Amendment, shall be as follows:

PAYMENT TERMS

The payment provisions of the Original Agreement are amended as follows.

Late payments shall incur a late fee of per month (or the maximum permitted by law), calculated from the date due until paid in full. Interest or late fees shall not relieve the paying Party of its obligation to pay other amounts when due.

TERM AND TERMINATION

Except as expressly modified herein, the term of the Original Agreement shall be amended as follows.

Termination for Cause: Either Party may terminate the Agreement immediately upon written notice to the other Party in the event of a material breach that remains uncured after the applicable cure period set forth in the Original Agreement. Termination shall be without prejudice to any accrued rights or remedies.

CONFIDENTIALITY

All Confidential Information disclosed under the Original Agreement and this Amendment shall remain subject to the confidentiality obligations specified in the Original Agreement. The Parties reaffirm that Confidential Information shall not be used except as reasonably necessary to perform obligations under the Agreement and shall be protected with at least the same degree of care as the receiving Party uses to protect its own confidential information, but in no event less than reasonable care.

The Parties acknowledge that monetary damages may be inadequate to remedy a breach of confidentiality and that injunctive relief may be appropriate in addition to any other remedies available at law or in equity.

The obligations of confidentiality set forth in the Original Agreement shall survive termination or expiration of the Agreement.

GOVERNING LAW

This Amendment shall be governed by and construed in accordance with the laws of the State or jurisdiction of without regard to its conflict of law principles. The Parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising out of or relating to this Amendment.

ENTIRE AGREEMENT

Except as expressly amended herein, the Original Agreement remains unchanged and in full force and effect. This Amendment and the Original Agreement constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, and communications, whether oral or written, relating to such subject matter.

In the event of any conflict between the terms of this Amendment and the Original Agreement, the terms of this Amendment shall control.

REPRESENTATIONS AND AUTHORITY

Each Party represents and warrants that it has the full right, power, and authority to enter into and perform this Amendment, that the individual signing on its behalf is duly authorized to execute this Amendment, and that this Amendment constitutes a legal, valid, and binding obligation enforceable against such Party.
