What the Business Amendment to LOI Is

The Business Amendment to LOI is a written modification to an existing Letter of Intent used when parties agree to change terms before a definitive agreement is signed. It records agreed adjustments such as purchase price, closing date, exclusivity period, due diligence extensions, or milestones while keeping the original LOI in force. The amendment clarifies which provisions remain effective, which are superseded, and whether the amendment itself is binding or non-binding. Parties often use it to preserve negotiating momentum, reduce misunderstanding, and document interim commitments prior to final contract execution.

Why Parties Use an Amendment Instead of Reissuing the LOI

Use a Business Amendment to LOI to document agreed changes without reissuing the full LOI or final contract. It reduces ambiguity about interim terms, preserves the parties' intent, and provides a clear written trail that supports enforceability and later contract drafting.

Why Parties Use an Amendment Instead of Reissuing the LOI

Who Typically Prepares and Signs These Amendments

Business development, corporate counsel, buyers, sellers, and transaction advisors commonly prepare or request a Business Amendment to LOI when terms change.

  • Private companies adjusting deal timelines or consideration during due diligence.
  • Investors and acquisition teams documenting negotiated revisions before signing definitive agreements.
  • Law firms and in-house counsel using amendments to limit exposure and clarify obligations.

An amendment helps maintain momentum and provides a concise record for later contract drafting or dispute resolution.

Signatures

Identify authorized signatories, require printed name, title, capacity, signature, and date; specify permitted signature methods including electronic and remote notarization if applicable.

Miscellaneous

Include governing law, severability, notice addresses, an integration clause tying the amendment to the LOI, and any waiver or amendment procedure for future changes.

Common Preparation Mistakes to Avoid

  • Failing to reference the original LOI section numbers creates confusion about which clauses are amended and can result in conflicting interpretations during drafting of the definitive agreement.
  • Using vague terms such as 'substantially equivalent' or 'reasonable' for consideration or obligations leaves material questions unresolved and increases litigation risk.
  • Not obtaining signatures from authorized representatives or corporate officers can render the amendment unenforceable against the entity.
  • Neglecting to update effective dates, milestones, or notice addresses leads to missed deadlines and failed contractual conditions.
