BUSINESS ANALYSIS TEMPLATE

This Business Analysis Agreement (the Agreement) is entered into as of by and between Client Name: and Analyst Name: .

RECITALS

WHEREAS, Client is seeking professional services to analyze business operations, processes, and systems to identify opportunities for improvement, risk mitigation, and strategic alignment; and

WHEREAS, Analyst has the professional expertise and agrees to perform business analysis services on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Analyst will perform a business analysis engagement including, without limitation, requirements elicitation, process mapping, data analysis, stakeholder interviews, gap analysis, recommendations, and preparation of deliverables as set forth below. Specific deliverables and acceptance criteria are described in the Deliverables section.

DELIVERABLES AND ACCEPTANCE

The following deliverables shall be produced by Analyst. Each deliverable will include acceptance criteria and will be deemed accepted upon written confirmation by Client or upon failure to object in writing within the stated acceptance period.

PAYMENT TERMS

Client shall pay Analyst the fees set forth below in consideration of the services and deliverables. All fees are exclusive of applicable taxes and reasonable out-of-pocket expenses unless otherwise stated.

Invoices are due within days of invoice date. Late payments shall accrue interest at the lesser of (a) a rate of per month or (b) the maximum rate permitted by applicable law. Client shall reimburse Analyst for reasonable collection costs, including attorneys' fees, for overdue amounts.

TERM AND TERMINATION

The term of this Agreement shall commence on and continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days following written notice. Termination shall not relieve Client of its obligation to pay fees for services performed through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information excludes information that is (a) publicly known through no fault of the receiving party; (b) rightfully received from a third party without restriction; (c) independently developed without use of the disclosing party's Confidential Information; or (d) required to be disclosed by law or court order, provided the receiving party gives prompt written notice and cooperates to seek confidential treatment.

The receiving party shall (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure to employees, contractors, or advisors with a need to know who are bound by confidentiality obligations at least as protective as those herein; and (iii) exercise reasonable care to protect the disclosing party's Confidential Information. The obligations of confidentiality shall survive for years following termination or expiration of this Agreement.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Analyst grants Client a non-exclusive, non-transferable license to use the final deliverables for Client's internal business purposes. Analyst retains all right, title, and interest in and to Analyst's pre-existing materials, methodologies, templates, tools, and know-how. If Client requires assignment of intellectual property in deliverables, indicate selection below.

WARRANTIES; LIMITATION OF LIABILITY

Analyst warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly set forth in this Agreement, Analyst disclaims all other warranties, express or implied. In no event shall either party be liable for indirect, incidental, consequential, exemplary, or punitive damages. The aggregate liability of Analyst for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client to Analyst under this Agreement in the twelve (12) months preceding the claim or , whichever is greater.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for disputes arising under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any Schedules or Statements of Work expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.
