BUSINESS ANALYTICS TEMPLATE

Parties and Effective Date

This Business Analytics Services Agreement (the Agreement) is made and entered into effective as of (Effective Date) by and between the Client named above and the Service Provider named above.

WHEREAS

WHEREAS, Client seeks to obtain business analytics services, including data analysis, reporting, and advisory services, to inform business decisions; and

WHEREAS, Service Provider has expertise, personnel, and technical capability to perform analytics services and deliverables described herein under the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, deliverables, payment, confidentiality, and other terms governing the performance of such services.

Scope of Work

Service Provider will provide business analytics services as described below. Services shall include acquisition and ingestion of Client data, data cleansing and transformation, analytic modeling, development of dashboards and reports, ad hoc analyses, and delivery of findings in written and presentation form.

Reporting and Acceptance

Service Provider will deliver reports and dashboards according to the schedule below. Client shall review deliverables within the acceptance period and provide written acceptance or a list of defects or deficiencies. If acceptance criteria are not met, Service Provider shall remedy identified issues at no additional charge.

Payment Terms

Client shall pay Service Provider the fees specified below in consideration for the services and deliverables. Unless otherwise stated, all amounts are in U.S. dollars and exclusive of applicable taxes.

Reasonable pre-approved out-of-pocket expenses incurred by Service Provider in performance of services are reimbursable by Client upon submission of documentation.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for the notice period specified above. Upon termination, Client will pay Service Provider for services performed and deliverables accepted through the termination date.

Confidentiality

Each party acknowledges that during performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, and financial information disclosed in any form. The receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees and contractors who need access and are bound to confidentiality obligations at least as protective as those herein; and (c) exercise commercially reasonable care to protect Confidential Information. Confidential Information does not include information that is or becomes publicly known through no breach by the receiving party, is rightfully received from a third party without obligation of confidentiality, or is independently developed without use of the disclosing party's Confidential Information.

Data Ownership and Use

Client retains all right, title, and interest in Client Data provided to Service Provider. Service Provider is granted a limited, non-exclusive, non-transferable license to process Client Data solely to perform the services under this Agreement. Service Provider may use aggregated, de-identified analytics derived from Client Data for internal benchmarking and product improvement provided such use does not permit identification of Client or its customers.

Warranties; Limitation of Liability

Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, ALL WARRANTIES ARE DISCLAIMED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. THE AGGREGATE LIABILITY OF SERVICE PROVIDER FOR CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO SERVICE PROVIDER DURING THE SIX (6) MONTH PERIOD PRECEDING THE CLAIM.

Indemnification

Each party agrees to indemnify and defend the other from third-party claims arising from the indemnifying party's gross negligence or willful misconduct in performing its obligations under this Agreement. The indemnified party shall promptly notify the indemnifying party of any claim and reasonably cooperate in its defense.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the courts located in the specified jurisdiction.

Entire Agreement and Amendments

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or successor in connection with a merger or sale of substantially all assets. Notices under this Agreement shall be in writing and delivered to the addresses listed above.
