BUSINESS ANEKS TEMPLATE

This Business Addendum (this "Aneks") is made and entered into as of by and between the parties identified below.

RECITALS

WHEREAS, Party A and Party B entered into an existing agreement titled dated (the "Original Agreement");

SCOPE OF WORK

The parties agree that the Original Agreement is amended to include the following additional scope of work. The service provider shall perform the tasks, deliverables and obligations described below in a professional and workmanlike manner:

PAYMENT TERMS

Compensation for the additional services set forth in this Aneks shall be as follows:

Late payments shall accrue interest at the lesser of (a) or (b) the maximum rate permitted by applicable law. Any disputed amounts must be timely notified in writing in accordance with the Notices section below.

TERM AND TERMINATION

This Aneks shall commence on and shall continue in effect until unless earlier terminated in accordance with this section.

Either party may terminate this Aneks for convenience upon days' prior written notice to the other party. Termination for cause shall be permitted where a material breach remains uncured for a period of twenty (20) days after written notice of such breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall maintain in confidence all non-public, proprietary or confidential information disclosed by the other party (the "Disclosing Party") and shall not disclose such information to any third party except as required by law or as necessary to perform under this Aneks. Confidential information does not include information that is or becomes publicly known through no breach by the Receiving Party, was lawfully in the Receiving Party's possession prior to disclosure, or is independently developed without use of or reference to the Disclosing Party's confidential information.

The obligations under this Confidentiality section shall survive termination or expiration of this Aneks for a period of from the date of termination, unless otherwise agreed in writing.

NOTICES

All notices under this Aneks shall be in writing and delivered to the addresses set forth above (or such other address as either party may designate in writing) and shall be effective upon receipt.

GOVERNING LAW

This Aneks shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

Except as expressly modified by this Aneks, all terms and conditions of the Original Agreement remain in full force and effect. This Aneks, together with the Original Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings relating thereto. This Aneks may be amended only by a written instrument signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Aneks is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its duties under this Aneks without the prior written consent of the other party, except that either party may assign this Aneks in connection with a merger, sale of substantially all assets, or corporate reorganization.
