BUSINESS ANNEX DOCUMENT

This Business Annex Document (the "Annex") is entered into as of and supplements the Agreement dated by and between:

RECITALS

WHEREAS, the Client and the Service Provider are parties to the principal agreement identified above under which the Service Provider provides certain business services and deliverables to the Client; and

WHEREAS, the parties desire to set forth additional terms, specifications, payment schedules and confidentiality obligations applicable to certain services described herein; and

WHEREAS, the parties intend that this Annex be incorporated into and govern the listed services to the extent that its provisions are not inconsistent with the principal agreement.

SCOPE OF WORK

The Service Provider shall perform the services and deliver the work product described below in accordance with the terms of this Annex and the principal agreement:

PAYMENT TERMS

The Client shall pay the Service Provider the fees described below in consideration for the services accepted under this Annex. Unless otherwise expressly provided, all amounts are payable in United States dollars and exclusive of applicable taxes.

If any undisputed invoice is not paid within days after the due date, the Client shall pay interest on the overdue amount at the rate of compounded monthly, or the maximum rate permitted by law, whichever is lower. The Client shall also reimburse reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Annex commences on Start Date: and, unless earlier terminated in accordance with this Annex or the principal agreement, terminates on End Date: .

Either party may terminate this Annex for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breach remains uncured for a period of days after written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall treat as confidential all information disclosed by the other party (the "Disclosing Party") in connection with this Annex that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not use or disclose Confidential Information except as necessary to perform its obligations under this Annex or as authorized in writing by the Disclosing Party.

Confidentiality obligations remain in effect for a period of years following termination or expiration of this Annex, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law. The foregoing shall not apply to information that (i) is or becomes public other than by breach of this Annex, (ii) was known to the Receiving Party prior to disclosure, (iii) is received from a third party without breach of an obligation of confidentiality, or (iv) is independently developed by the Receiving Party.

NOTICES

All notices under this Annex shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice. Notices are effective upon receipt when delivered by hand, one business day after delivery by commercial overnight courier, or three business days after deposit in the United States mail, postage prepaid, certified or registered.

GOVERNING LAW; DISPUTE RESOLUTION

This Annex shall be governed by and construed in accordance with the laws of the State/Jurisdiction of without regard to choice-of-law rules. The parties agree to submit to the exclusive jurisdiction of the courts located in such jurisdiction for any action arising out of or relating to this Annex.

MISCELLANEOUS

Entire Agreement: This Annex, together with the principal agreement and any other exhibits or schedules specifically incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written.

Amendment; Waiver: No modification, amendment or waiver of any provision of this Annex is effective unless in writing and signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

Assignment: Neither party may assign or transfer its rights or obligations under this Annex without the prior written consent of the other party, except that either party may assign this Annex in connection with a merger, sale of substantially all of its assets or other change of control, provided that the assignee assumes all obligations hereunder.

Severability: If any provision of this Annex is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a replacement provision that preserves the intent of the original.
