BUSINESS ANNEXURE

This Business Annexure (the "Annexure") is made effective as of Effective Date: and is entered into between Client Name: with address and Service Provider Name: with address .

WHEREAS

WHEREAS, Client has engaged Service Provider to perform certain business services and deliverables as described in this Annexure; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other material terms governing the services provided under the primary agreement between the parties and this Annexure.

SCOPE OF WORK

Deliverables shall include all work described above and such ancillary services as are reasonably necessary to achieve the deliverables. Any material change in scope will require a written amendment signed by both parties, including an adjustment to fees and schedule where applicable.

PAYMENT TERMS

Invoices shall be issued in accordance with the billing schedule. Unless otherwise agreed in writing, Client shall pay each undisputed invoice within days of receipt. All payments shall be made in the currency specified in the primary agreement. The Service Provider will be entitled to suspend performance for invoices overdue by more than days after written notice.

Overdue amounts will accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus a one-time administrative late fee of for each delinquent invoice.

TERM AND TERMINATION

This Annexure shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Annexure.

Either party may terminate this Annexure for convenience upon providing days' prior written notice to the other party. Either party may terminate for cause if the other party materially breaches this Annexure and fails to cure within 30 days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all work performed and expenses reasonably incurred through the effective date of termination. Sections that by their nature survive termination, including confidentiality and indemnity obligations, shall survive.

CONFIDENTIALITY

"Confidential Information" means all non-public business, technical or financial information disclosed by one party to the other, whether disclosed orally, in writing, or by inspection of tangible objects. Confidential Information does not include information that is: (a) in the public domain other than by breach of this Annexure; (b) rightfully received from a third party without restriction; (c) independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) required to be disclosed by law, provided the disclosing party is given prompt notice and reasonable assistance to seek protective measures.

The receiving party shall (i) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own Confidential Information, but no less than reasonable care; (ii) restrict disclosure to employees, contractors or agents with a need to know who are bound by confidentiality obligations no less protective than those herein; and (iii) not use Confidential Information except to perform its obligations under this Annexure. The obligations under this section shall survive termination for a period of three (3) years, or for such longer period as required by applicable law for particular categories of information.

GOVERNING LAW

This Annexure shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in such state for any dispute arising under this Annexure.

ENTIRE AGREEMENT

This Annexure, together with the primary agreement to which it is attached or referenced, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous discussions, proposals, agreements and understandings, whether written or oral. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign its rights or obligations under this Annexure without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a corporate reorganization, merger or sale of substantially all assets provided that the assignee assumes the obligations of the assigning party. Notices required under this Annexure shall be in writing and delivered to the addresses set forth above.
