Payment Terms

Company shall pay Publisher the fees and reimburse expenses as follows:

All fees are exclusive of taxes and duties for which Company is responsible. If Company disputes in good faith any portion of an invoice, Company shall timely pay undisputed amounts and provide written notice specifying the basis of the dispute.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Upon termination, Company shall pay Publisher for all Services performed and non-cancellable commitments made prior to the effective date of termination.

Confidentiality

Each party shall hold in confidence all nonpublic information received from the other party in connection with this Agreement that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure (Confidential Information). Confidential Information does not include information that is or becomes public without breach, is independently developed, or is rightfully received from a third party without restriction.

The receiving party shall use Confidential Information only for purposes of performing its obligations under this Agreement, shall restrict access to employees and agents who have a need to know, and shall be responsible for breach by such persons. Confidentiality obligations shall survive termination for a period of unless a longer period is required by applicable law.

Representations, Warranties and Indemnification

Company warrants it owns or is licensed to use all materials provided for the Announcement and that publication will not infringe third-party rights. Publisher warrants that, to the best of its knowledge, its distribution practices comply with applicable laws.

Each party shall indemnify, defend and hold harmless the other party from any claims, damages or liabilities arising from its breach of representations, warranties or obligations under this Agreement, except to the extent caused by the indemnified party’s gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Exclusive jurisdiction and venue for any dispute will lie in the state or federal courts located in that State.

Entire Agreement

This Agreement, including all exhibits and schedules incorporated herein, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Company shall provide timely approvals and feedback in accordance with the schedule. Failure to timely approve may result in delay or rescheduling of publication; Publisher shall not be liable for missed dates caused by Company’s delay.
