All fees are due within the period stated in the Payment Schedule. The Company is responsible for any governmental filing fees or taxes in addition to the Service Provider's fee unless otherwise stated in writing.

Term and Termination

Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the intended termination date. Termination for cause may be immediate upon material breach if such breach remains uncured for fifteen (15) days following written notice.

Governing Law

This Agreement and any dispute arising out of it shall be governed by the laws of the State of without regard to principles of conflict of laws.

Entire Agreement

This document, including any attachments and the Scope of Work described above, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, and representations, whether oral or written. Any modification must be in writing and executed by an authorized representative of each party.
