WHEREAS, the Company has been formed to carry on the business set out in these Articles and the parties wish to record certain terms governing the management, capital structure and affairs of the Company;

WHEREAS, the Subscriber has agreed to subscribe for and pay for shares in the Company on the terms contained in this Agreement and in reliance upon the warranties and covenants set forth herein;

WHEREAS, the parties desire to set forth their respective rights and obligations with regard to corporate governance, transfer of shares, confidentiality and dispute resolution;

Definitions

In this Agreement, unless the context otherwise requires, capitalized terms have the meanings given to them in these Articles or as follows: "Shares" means the ordinary shares of the Company; "Board" means the board of directors of the Company.

1. Scope of Business

The Company shall carry on the following business activities. The Subscriber and Company acknowledge that the Company may expand into related activities upon unanimous Board approval.

2. Share Capital and Subscription

The Subscriber agrees to subscribe for the following number of shares and to make payments as set forth in the Payment Terms below.

3. Payment Terms (Subscription for Shares)

All payments shall be made in cleared funds to the Company. If any payment is not made on its due date, interest shall accrue at the rate specified above and the Company may suspend shareholder rights until payment is made in full.

4. Term and Termination

This Agreement commences on and shall continue until unless earlier terminated in accordance with this clause.

The Company or any Shareholder may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period above following written notice specifying the breach. Termination shall be without prejudice to any accrued rights.

5. Confidentiality

Each party shall keep confidential all Confidential Information disclosed by the other party, whether oral, written or electronic, that is designated as confidential or that ought reasonably to be considered confidential given its nature and the circumstances of disclosure. Confidential Information includes financial data, business plans, customer lists, technical information and trade secrets.

The obligations of confidentiality shall not apply to information that (i) is or becomes public other than by breach of this Agreement, (ii) is lawfully obtained from a third party, (iii) is independently developed, or (iv) is required to be disclosed by law or by a competent regulatory authority, provided that the disclosing party receives prior notice where legally permitted.

6. Directors and Governance

The business and affairs of the Company shall be managed by a Board of Directors. The Board shall have the authority to make all decisions necessary to carry out the business of the Company, subject to the reserved matters set out in these Articles which require unanimous or majority shareholder approval as specified herein.

7. Transfer of Shares

No Shareholder shall transfer any Shares except in accordance with the transfer restrictions set out in these Articles. Transfers shall be subject to a right of first refusal in favor of existing Shareholders and the Company, in accordance with the procedure set out below.

8. Dividends

Dividends may be declared and paid by the Company subject to applicable law, solvency requirements and Board discretion. The Board shall adopt a dividend policy from time to time which shall be consistent with the Company's financial position and strategic needs.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified above. Any dispute arising under or in connection with this Agreement shall be resolved by binding arbitration or by the courts of the specified jurisdiction as agreed by the parties in writing.

10. Amendments and Entire Agreement

These Articles, together with any schedules or annexes, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior agreements, understandings and negotiations. No amendment to these Articles shall be valid unless made in writing and signed by Shareholders holding not less than of the voting shares.

11. Miscellaneous

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Waiver: No waiver of any breach shall be effective unless in writing and signed by the waiving party.

Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
