BUSINESS ASSIGNMENT OF BENEFITS AGREEMENT

Recitals

WHEREAS, Assignor is the owner or authorized claimant of certain rights, benefits and proceeds that may become due under insurance policies, contracts, or other third-party sources arising from the scope of services described herein;

WHEREAS, Assignee possesses the capacity and desire to receive and collect those benefits and proceeds on behalf of Assignor and to perform related services; and

WHEREAS, Assignor desires to assign, transfer and authorize the collection of such benefits and proceeds to Assignee on the terms and conditions set forth in this Agreement.

Scope of Work

Assignee shall provide services, coordination, documentation and collection actions in connection with the matters described below. Assignor authorizes Assignee to act as Assignor's agent limited to the performance described in this section.

Assignment of Benefits and Authorization

Assignor hereby absolutely and irrevocably assigns to Assignee all rights to receive benefits, payments, proceeds, refunds or recoveries that are now due or that may in the future become due to Assignor under any insurance policy, contract, or third-party claim relating to the Scope of Work. Assignor authorizes insurers, administrators, and third parties to pay Assignee directly and to disclose claim, policy and related information to Assignee to facilitate collection and resolution.

Payment Terms

Compensation to Assignee shall be as follows. Assignor acknowledges that payments received by Assignee will be applied first to fees and expenses owed to Assignee in accordance with this Agreement.

If Assignee receives payment on Assignor's behalf, Assignee will provide an accounting to Assignor identifying amounts received, fees deducted, and net remittance. Assignor authorizes such deductions and acknowledges that Assignee may hold funds until required documentation is obtained or disputes are resolved.

Term and Termination

This Agreement commences on the Effective Date and shall continue until the earlier of: (a) completion of the Scope of Work and final accounting; (b) full satisfaction of assigned benefits and proceeds; or (c) termination as provided below.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period. Termination shall not affect rights to fees earned or recoveries allocated prior to termination. Upon termination, Assignee shall deliver a final accounting and remit any net proceeds due to Assignor within thirty (30) days after reconciliation.

Confidentiality

Each party shall maintain as confidential all non-public information disclosed in connection with this Agreement, including but not limited to claim details, estimates, invoices, pricing and settlement terms. Confidential information shall not be disclosed except to the extent required by law, insurer or claims administrator, or with the prior written consent of the other party.

Assignor and Assignee acknowledge and agree to the confidentiality obligations set forth above.

Representations; Indemnity

Assignor represents and warrants that Assignor has the full right, power and authority to assign the benefits described herein and that no prior assignment conflicts with this Agreement. Assignee represents that it has the authority and means to pursue and collect assigned benefits.

Each party shall indemnify, defend and hold harmless the other party from and against any claims, damages, liabilities, costs or expenses (including reasonable attorneys' fees) arising from that party's breach of its representations, intentional misconduct or gross negligence in the performance of this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail, or nationally recognized courier to the contact information provided above and shall be effective upon receipt.

Entire Agreement; Amendment

This Agreement, including any exhibits and the Scope of Work described above, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or communications, oral or written. No amendment, modification or waiver shall be effective unless in writing and signed by both parties.

Severability; Construction

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.
