BUSINESS AP TEMPLATE

Recitals

This Accounts Payable Authorization and Payment Agreement (the Agreement) is made as of by and between Company Name: (referred to below as "Company"), and Vendor Name: (referred to below as "Vendor").

WHEREAS, Company procures goods and/or services in the ordinary course of business and requires a formal authorization and payment process for accounts payable; and

WHEREAS, Vendor provides the goods and/or services described herein and agrees to accept payment in accordance with the terms set forth in this Agreement.

Scope of Work

Payment Terms

Company agrees to pay Vendor for the goods and/or services described above in accordance with the following payment provisions. All payments shall be subject to the invoice verification and dispute procedures set forth in this Agreement.

If payment is not received by the Payment Due Date, unpaid amounts shall accrue interest at a rate of compounded monthly, or a minimum late charge of whichever is greater. Interest and late charges shall be calculated from the first day following the due date until paid in full.

Term and Termination

This Agreement shall commence on and shall continue in effect until unless terminated earlier in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for cause may be effected immediately upon written notice if the breaching party fails to cure a material breach within 15 days after receipt of written notice describing the breach.

Confidentiality

"Confidential Information" means non-public business, technical, financial and other information disclosed by one party to the other in connection with this Agreement. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as permitted herein; and (c) use Confidential Information solely to perform obligations under this Agreement. Confidentiality obligations shall not apply to information that is or becomes publicly available through no fault of the receiving party, independently developed by the receiving party without use of the disclosing party's Confidential Information, or required to be disclosed by law or court order, provided that the receiving party provides prompt written notice to the disclosing party and cooperates in any efforts to obtain confidential treatment.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, that its execution of this Agreement does not violate any agreement with a third party, and that it will perform its duties in a professional manner consistent with industry standards.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for purposes of any action arising out of this Agreement.

Entire Agreement

This Agreement, together with any exhibits, attachments and referenced purchase orders, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Independent Contractor: Vendor shall perform as an independent contractor and not as an agent or employee of Company. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets. Remedies: The remedies provided herein are cumulative and not exclusive. If any provision is found unenforceable, the remainder shall remain in full force and effect.
