Either party may terminate this Agreement for convenience upon written notice delivered no less than days prior to the intended termination date. For material breach, the non-breaching party may terminate if the breaching party fails to cure within days following written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that during the term of this Agreement it may receive Confidential Information from the other party. Confidential Information means all non-public information disclosed in any form that is identified as confidential or that the recipient should reasonably understand to be confidential given the nature of the information and the circumstances of disclosure.

The recipient shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to third parties except to employees, agents or subcontractors with a need to know who are bound by confidentiality obligations; and (c) use Confidential Information only for the purposes of performing obligations under this Agreement. These obligations survive termination for a period of three (3) years, or longer where required by applicable law for trade secrets.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for any dispute arising under this Agreement shall lie exclusively in the state or federal courts located within that State.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, together with any written exhibits or schedules executed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous written or oral agreements. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. The headings in this Agreement are for convenience only and shall not affect interpretation.

REPRESENTATIONS AND CERTIFICATIONS

Each party represents and warrants that: (a) it has full power and authority to enter into this Agreement; (b) the person executing this Agreement on its behalf is duly authorized; and (c) its execution and performance of this Agreement will not violate any applicable law or contractual obligation.
