BUSINESS APPB TEMPLATE

Parties and Effective Date

This Business Agreement (the "Agreement") is made effective as of by and between Party A and Party B, each a "Party" and collectively the "Parties."

Recitals

WHEREAS, Party A seeks to engage Party B to perform certain business services as described herein and Party B has the qualifications, experience and capacity to perform such services; and

WHEREAS, the Parties desire to set forth the terms and conditions under which Party B will provide services to Party A and to memorialize the Parties' respective rights and obligations with respect thereto; and

WHEREAS, the Parties intend that this Agreement constitute the complete and exclusive statement of the terms agreed between them.

Scope of Work

Party B shall perform the services and deliverables described below in a professional and workmanlike manner in accordance with industry standards. The Parties may attach additional task orders or appendices that become part of this Agreement when signed by both Parties.

Payment Terms

In consideration for the services performed by Party B, Party A shall pay Party B the amounts and on the schedule set forth below. All fees are exclusive of taxes unless otherwise stated, and Party B shall separately invoice any applicable taxes.

Late payments shall accrue interest at a rate of on outstanding amounts, compounded monthly, or the maximum rate permitted by applicable law, whichever is lower. Party B may suspend performance if invoices remain unpaid beyond the cure period described below.

Term and Termination

This Agreement commences on and will continue until unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for convenience upon prior written notice to the other Party. In the event of a material breach, the non-breaching Party may terminate if the breach is not cured within after receipt of written notice specifying the breach.

Upon termination, Party B shall deliver any Work in Progress and Party A shall pay for all services performed and expenses incurred through the effective date of termination, subject to offsets for uncured breaches.

Confidentiality

"Confidential Information" means non-public information disclosed by a Party that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information. Each Party agrees: (a) to hold Confidential Information of the other Party in strict confidence; (b) not to use such Confidential Information except to perform its obligations under this Agreement; and (c) not to disclose such Confidential Information to any third party except to its employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

Confidential Information does not include information that is: (i) publicly known other than by breach of this Agreement; (ii) independently developed by the receiving Party without use of the disclosing Party's Confidential Information; or (iii) lawfully received from a third party without confidentiality obligations. The obligations of confidentiality will survive termination of this Agreement for a period of .

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The Parties shall attempt in good faith to resolve disputes through negotiation; if unresolved, disputes shall be resolved by binding arbitration or litigation as selected by the Parties in writing.

Representations, Warranties and Indemnity

Each Party represents and warrants that it has the full right, power and authority to enter into and perform this Agreement. Party B warrants that services will be performed in a professional manner in accordance with applicable industry standards. Each Party shall indemnify and hold harmless the other from and against any third-party claims arising from its breach of this Agreement, negligence or willful misconduct.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses below or to such other address as a Party designates in writing. Notices are effective upon receipt.

Entire Agreement; Amendments

This Agreement, including all attachments and executed task orders, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment shall be effective unless made in writing and signed by authorized representatives of both Parties.

Miscellaneous

Neither Party may assign this Agreement without the prior written consent of the other Party, except that either Party may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
