What the Business Appendix B Template Is

The Business Appendix B Template is a supplemental document attached to a primary business agreement that lists project-specific schedules, supplemental terms, parties, or fee tables. It consolidates background data and operational details that support the main contract without changing core agreement language, making it easier to update schedules, contact tables, or cost line items independently.

Why You Use an Appendix B in Contracts

Appendix B centralizes variable or frequently updated details—such as pricing schedules, vendor contact lists, or scope exhibits—so the main agreement remains stable and concise while attachments can change with minimal amendment.

Why You Use an Appendix B in Contracts

Who Typically Prepares and Signs Appendix B

Parties listed in the appendix should match the signatory authorities named in the main agreement to avoid conflicts over execution and interpretation.

  • Project managers and contract administrators who maintain schedules and scope details for active engagements.
  • Procurement and vendor managers who track pricing tables, payment terms, and service levels.
  • Legal and compliance teams that attach required notices, confidentiality addenda, or regulatory disclaimers.

Key Components to Include in a Professional Appendix B

A complete Appendix B clearly identifies parties, effective dates, exhibits, responsibility matrices, pricing schedules, and signature blocks. Each component should refer to corresponding sections of the main agreement so the attachment is read and enforced as part of the contract.

Party Identification

Legal entity names, role (buyer, vendor), and primary contact information for each party.

Effective Date

Clear start date or trigger event that aligns with the main agreement's effective date.

Scope Exhibit

Concise description of goods, services, deliverables, and any exclusions.

Pricing Schedule

Unit prices, billing frequency, and any escalation or discount formulas.

Responsibilities

Task owner matrix, deliverable due dates, and reporting or acceptance criteria.

Signature Block

Designated signer names, titles, signature lines, and dates for execution.

  • 01
    1. Gather References: Locate the main agreement and referenced exhibits before editing.

    3. Internal Review: Have procurement, finance, and legal review for accuracy and compliance.
  • 04
    4. Execute and Attach: Sign, date, and attach the appendix to the fully executed master agreement.
