WHEREAS

WHEREAS, Applicant seeks to obtain certain business development, advisory and support services from Provider in connection with the establishment, operation, and promotion of Applicant's business; and

WHEREAS, Provider has represented that it has the experience, personnel and resources to perform the services described in this Agreement and is willing to provide such services to Applicant on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the services described below for Applicant in accordance with the terms and conditions of this Agreement. Services shall include, at minimum, the items expressly listed in the field below and any attachments incorporated by reference.

PAYMENT TERMS

Applicant agrees to pay Provider for the services described above in accordance with the following terms:

All undisputed invoices shall be paid within the payment schedule above. If payment is not received when due, interest shall accrue at the rate specified above or, if none specified, at the maximum rate permitted by law. Applicant shall be responsible for reasonable collection costs, including legal fees, for past-due amounts.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Applicant of the obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that, in the course of performance, it may receive confidential or proprietary information of the other party. "Confidential Information" includes all non-public information disclosed by the disclosing party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Receiving party shall: (a) use Confidential Information only to perform its obligations under this Agreement; (b) restrict disclosure to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure. Confidentiality obligations shall survive termination for a period of years, except with respect to trade secrets which shall be protected to the extent permitted by law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict-of-law rules. The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be resolved by binding arbitration or in the courts located in the county of the governing state as elected by the non-breaching party.

ENTIRE AGREEMENT

This Agreement, together with any schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No modification, waiver or amendment shall be effective unless made in writing and signed by authorized representatives of both parties.
