Termination Clause: Either party may terminate any preliminary engagement or approval process for convenience upon providing the notice period above. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days of written notice of such breach. Termination shall not relieve either party of obligations incurred prior to the effective termination date, including payment obligations.

Confidentiality

Confidential Information means non-public business, technical, financial, and operational information disclosed by either party to the other in connection with this Application Packet and any related evaluation or engagement. Each party agrees to protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, to use Confidential Information solely for evaluation and performance under any subsequent agreement, and not to disclose Confidential Information to third parties except to employees, counsel, accountants, and other advisors having a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination for three (3) years, except that trade secrets remain protected for so long as they qualify as trade secrets under applicable law.
