What Business Approval Files are and how they function

Business Approval Files are structured records that capture requests, supporting documentation, reviewer comments, and final authorizations for corporate actions such as purchases, contracts, hires, policy exceptions, or capital expenditures. They combine a standardized approval form, required attachments (quotes, SOWs, budgets), routing information, and a signed authorization block that documents who approved what and when. These files provide an auditable trail for governance, internal controls, and external review and can be executed electronically under U.S. e-signature law (ESIGN and UETA) when parties consent to electronic records.

Why a formal Business Approval File matters

A formal Business Approval File ensures consistent decision records, reduces processing delays, and supports compliance with internal controls and external audits. Using a standardized file clarifies authority, mitigates financial risk, and documents approval rationale in a single, retrievable record.

Why a formal Business Approval File matters

Who prepares and reviews Business Approval Files

Typical participants include requestors, departmental approvers, finance, procurement, and legal reviewers; IT or security may review for technical approvals where applicable.

  • Requestors and originators: submit the initial request, attach supporting documents, and confirm budget availability.
  • Approvers and managers: verify scope, authorize spend, and record approval level or delegation.
  • Finance, procurement, legal: confirm budget codes, supplier terms, and compliance before final sign-off.

Clear role definition and ordered routing reduce rework and accelerate processing while preserving an evidentiary record for audits and dispute resolution.

Core elements of a professional Business Approval File

A complete file groups required fields, supporting attachments, routing metadata, approvals, and audit data so reviewers can make timely, informed decisions while preserving an auditable history.

Request summary

Concise description of the requested action, objective, and expected deliverables so reviewers understand purpose without reading all attachments.

Financial detail

Exact amount requested, cost breakdown, budget code or GL account, payment terms, and any projected ROI or cost-savings metrics.

Supporting attachments

Quotes, vendor agreements, SOWs, budget approvals, and compliance checklists combined in a single, version-controlled bundle.

Approval routing

Ordered list of required approvers, escalation rules, and response SLAs to enforce consistent review and avoid stalled requests.

Signatures and dates

Individual authorization blocks, with signer name, title, date, and method of signature (electronic or wet) recorded for legal traceability.

Audit metadata

Timestamps, signer IP or authentication method, and a changelog for edits and resubmissions to support internal control and external audit requirements.

Essential compliance and security details to include

Encryption in transit: TLS 1.2 / 1.3
Encryption at rest: AES-256
Regulatory frameworks: ESIGN and UETA
Healthcare compliance: HIPAA — BAA required
Audit standards: SOC 2 Type II available
Records integrity: 21 CFR Part 11 support where required

Step-by-step: preparing and routing a Business Approval File

Follow a consistent sequence to reduce errors and speed approvals.

  • 01
Assemble materials: Attach quotes and budgets before starting the form.
  • 02
Complete form: Enter all required fields and validate budget codes.
  • 03
Select approvers: Define routing order and any escalation steps.
  • 04
Send for signature: Submit electronically or route for wet signatures.

Where the completed Business Approval File goes next

After submission, the file moves through an ordered workflow and is stored in a central repository with audit logging for later retrieval.

  • Initial review: Assigned approver reviews content and attachments.
  • Secondary checks: Finance or procurement verifies budget and vendor terms.
  • Final authorization: Designated signer provides legal approval or signature.
  • Archival: Signed file and audit trail are saved in records system.

Configuring an electronic approval workflow

Map fields and routing rules before launch so each approval follows the same required steps.

Field Configuration
Requestor field Auto-populate from employee directory
Approval order Sequential or parallel routing options
Authentication Email link, SMS code, or stronger MFA
Notifications Email reminders and escalation timeouts

Digital signing and delivery considerations

Ensure the chosen platform supports required file formats, integrations, and authentication methods before processing high-volume approvals.

  • File formats: PDF, DOCX, XLSX
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, KBA, SSO

Confirm retention, audit trail, and any HIPAA or 21 CFR Part 11 requirements with your records team and platform provider prior to execution.
